(This Agreement will lose its effect as of January 22nd 2020 and be deemed replaced with Subscription Agreement.)

Software Sales Agreement

This Agreement is a legal contract made between you and Live2D Inc. (hereinafter “Live2D”) relating to the buying and selling of Software (as hereinafter defined).

1. Definitions

1.1 “Customer” means you and any legal entity that obtained the Software and on whose behalf it is used, and the Representatives of the legal entity of which you are a member.

1.2 “Representatives” means any individuals who are involved in operation of any legal entity (or similar business entity) that obtained the Software and on whose behalf it is used, including without limitation board of directors, employees (regardless of forms of employment such as full-time, part-time, temporary, or permanent), contract workers, agency staff, interns, and any other individuals employed or contracted to perform work on behalf of the Customer.

1.3 “Software” means programs, any proprietary scripting embedded, graphics, documents as well as modified versions and copies thereof, upgrades and updates of Applicable Software indicated above, the Sample Materials (as hereinafter defined) included in the distribution package thereof, and any and all additional information which Live2D sells on the website indicating this Agreement.

1.4 “Computer” means a virtual or physical device that accepts information in digital or similar form and manipulates it for a specific result based on a sequence of instructions, including without limitation desktop computers, laptops, tablets, mobile devices, telecommunication devices, Internet-connected devices, and hardware products capable of operating a wide variety of productivity, entertainment, or other software applications.

1.5 “Webpage” means any webpage indicated in the website managed by Live2D listing the price and purchase terms of the Software, which is displayed at the time of purchase of the Software.

1.6 “Subscription Conditions” mean the separately prescribed conditions related to prices and terms for continuously using the Software on a chargeable basis offered in the website managed by Live2D.

2. Formation of Agreement

2.1 This Agreement shall be established when the Customer applies for purchase of the Software by entering their information on a website managed by Live2D and notification that Live2D accepts the application reaches the Customer.

2.2 This Agreement is applied to all relationships between Live2D and the Customer concerning the buying and selling of the Software.

3. License Grant

3.1 Software License

3.1.1 Upon purchase of the Software by the Customer, Live2D grants the Customer the right to install the Software on up to two computers managed by the Customer in accordance with this Agreement, the terms listed on the Webpage and the separately prescribed Subscription Conditions.

3.1.2 Only one of the Customer’s Representatives may use the Software.

3.1.3 The rights set forth in Section 3.1.1 are non-exclusive rights that cannot be transferred or sub-licensed.

3.1.4 The Customer acknowledges that the Agreement does not license the Customer to duplicate the Software beyond the scope allowed in accordance with Section 3.1.1, and does not license them to publicly transmit, loan, adapt or otherwise use the Software in a state other than that set forth in Section 3.1.1.

3.2 License Fee

3.2.1 Customer shall pay for the consideration of the Software to Live2D in accordance with the terms listed on the Webpage and the Subscription Conditions separately prescribed by Live2D.

3.2.2 The license fee paid according to the preceding Paragraph will not be refunded for whatever reason.

3.2.3 If Customer’s payment of the license fee described in Section 3.2.1 above is in arrears, Customer shall additionally pay delinquency charges at an annual rate separately agreed with Live2D at the time of entering this Agreement.

3.3 Subscription Conditions

Live2D shall set forth separate Subscription Condition and terms listed on the Webpage as integral parts to the Agreement. By agreeing to this Agreement, the Customer shall be deemed to have also agreed to the Subscription Conditions and terms listed on the Webpage.

4. Scope of Agreement

4.1 The Customer may not install the Software on the Computer of any third party or allow any third party other than their Representatives to use the Software.

4.2 If the Customer is entering into this Agreement and accepting all of its terms on behalf of a legal entity, Customer declares and guarantees that Customer has the authority to represent the legal entity and its Representatives and to hold them liable to this Agreement.

4.3 The Customer shall observe the Copyright Acts of Japan and other countries, the treaties regarding the rights of authors and the neighboring rights thereof and any other laws and regulations regarding the intellectual property rights in the use of the Software.

5. Intellectual Property

5.1 Live2D shall have the patent rights, copyrights and other intellectual property rights to the Software and copies thereof. These rights are protected by laws and regulations, including but not limited to the Copyright Acts of Japan and other countries and the provisions of international treaties.

5.2 Unless expressly provided for hereunder, Live2D will not grant or transfer to the Customers a license to exercise and use the intellectual property rights of the Software upon the purchase and licensing of the Software and the execution of this Agreement. Any rights not expressly granted shall be vested in Live2D.

5.3 The name of this Software, Cybernoids, Live2D and all related titles and logos are either registered trademarks or trademarks of Live2D in Japan and/or other countries. All other trademarks are the property of their respective owners.

6. Restrictions and Requirements

6.1 Restricted Acts

Live2D reserves all rights not expressly granted to the Customer in this Agreement. Unless applicable law gives the Customer more rights notwithstanding this limitation, the Customer may use the Software only as expressly permitted in this Agreement.

The Customer may not do the following:

6.1.1 No Modifications

Except as expressly permitted in this Agreement, the Customer may not modify, port, adapt, or translate the Software, and manuals, help and other relevant materials provided incidental thereto

6.1.2 No Reverse Engineering

The Customer may not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software except in case which the Customer performs modifications of the Software for its own use and reverse engineering for debugging such modifications.

6.1.3 No Evasion of Security Means

The license authentication and encryption technologies accompanied with the Software are intended to prevent illegal use of the Software, and therefore the Customer may not ignore, evade or otherwise attempt to bypass these security means regardless of its intention.

6.1.4 No Unbundling

The Software may include various applications and components, may allow access to different services, may support multiple platforms and languages, and may be provided to the Customer on multiple media or in multiple copies. The Customer may not unbundle the component parts of the Software for use on different Computers. For example, the Customer may not install or use Modeler application on one Computer and Animator application on another.

6.1.5 No Transfer of Rights

The Customer will not rent, lease, sell, sublicense, assign, or transfer its rights in the Software, or authorize any portion of the Software to be copied onto another individual or legal entity's computer. If the Customer intends to contract a third party to perform work that requires use of the Software, the applicable third party must obtain its own license directly from Live2D.

6.1.6 No Transfer of Contractual Status

The Customer may not assign or transfer to any third party or have any third party succeed to the contractual status, rights and obligations granted to the Customers under this Agreement.

6.1.7 No Service Bureau

The Customer will not use or offer the Software on a service bureau (hereinafter “Service Bureau”) basis to any third party. “Service Bureau” means an act of providing a service to any third party with the service’s practical value based on the all or any part of the Software itself; for example, a service for a third party to output files using a function only legitimately available to licensed Customer. “Service Bureau” does not include an act of producing works at the request of a third party or selling Customer’s own works to a third party. Live2D retains the right to determine whether or not an act by the Customer corresponds to “Service Bureau” at its sole discretion.

6.1.8 No disclose or divulge of the License Keys

The Customer will not disclose or divulge the License Keys to any third party. In no case will Live2D re-issue License Key for disablement of usage of the Software arise by loss or destruction of License Key by the Customer.

6.1.9 Other Restrictions

7. Confidentiality

Neither Live2D nor the Customers shall divulge to any third party any information disclosed by the other party, technical and business secrets of the other party that become known to them or information that the other party identifies as secret (hereinafter collectively referred to as the “Confidential Information”) unless they obtain the prior written consent of the other party, except for the information set forth in the respective Items below:

7.1 Information that the receiving party obtains before the disclosing party provides it;

7.2 Information that is already in the public domain before the disclosing party provides it or that becomes publicly available through no fault of the receiving party after the disclosing party provides it;

7.3 Information that the receiving party obtains from a third party with the legitimate right without the obligation of confidentiality; and

7.4 Information that is required by laws or any competent public authorities.

8. Cancellation and Termination of Agreement

8.1 If any Customers fall under any of the cases set forth in the respective Items below (when the Customers are corporations or any other organizations, including their officers and the Representatives), Live2D may immediately cancel this Agreement without giving notice to the Customers.

8.1.1 If any Customers engage in the prohibited acts stipulated under Section 6. Restriction and Requirements;

8.1.2 If any Customers breach the provisions of this Agreement, or the terms listed on the Webpage or Subscription Conditions which are integral parts of the Agreement, and fail to correct the breach within a reasonable period upon notice to them;

8.1.3 If any Customers wrongfully damage the interests of Live2D’s other customers or clients or if any Customers impair the trust, social reputation or status of Live2D or hinder the operations of Live2D;

8.1.4 If it is found that any Customers are or have been antisocial forces (organized crime groups, corporate racketeers and other antisocial organizations or persons) or if it is found that any Customers have or had any capital, business, personal or other relationships with antisocial forces for any purposes;

8.1.5 If any Customers are subject to the revocation of a business permit, suspension of business or other disposition by the competent authorities;

8.1.6 If any Customers suspend payment or become insolvent, or if any Customers dishonor a bill or check;

8.1.7 If any third party files a petition against any Customers for attachment, provisional seizure, provisional disposition or auction, or if any Customers are subject to the disposition of delinquency in the payment of taxes and other public charges;

8.1.8 If a petition is filed against any Customers for the institution of the proceedings for bankruptcy, civil rehabilitation, corporate reorganization or special liquidation, or if any Customers file such a petition;

8.1.9 If any Customers pass a resolution of dissolution, company split, business transfer or merger;

8.1.10 If upon any substantial change in the assets or credit standing of any Customers, it is considered that it may be difficult for them to perform the obligations under this Agreement;

8.1.11 If any Customers violate this Agreement or infringe the intellectual property rights to the Software and cause damage to Live2D; and

8.1.12 If any cases arise that are similar to those described in the respective Items above.

8.2 If any of the cases described in the respective Items of the preceding Paragraph apply, the Customer shall automatically forfeit the benefit of time in relation to all obligations owed to Live2D and immediately pay Live2D all obligations.

8.3 Termination of the Agreement shall not prevent Live2D from exercising a claim for damages against the Customer.

8.4 If this Agreement is terminated pursuant to Section 8.1, the Customer shall promptly erase or destroy the Software, all copies thereof, and all Derivative Work including the Output Files and any other derivatives arising from use of the Software.

9. Measures Upon Agreement Termination

Should the Agreement be terminated for any reason, the Customer shall promptly erase or destroy the Software.

10. Amendments

The provisions of this Agreement may be amended from time to time as necessary, at Live2D’s solo discretion. Live2D shall publicly announce any amendments to the provisions of this Agreement on its website and the like, and the amended provisions shall become effective from the date of the latest amendment.

11. Updates

If the Software is an update to a prior version of Live2D software (the “Prior Version”), then Customer’s use of this update is conditional upon its retention of the Prior Version. If the Software is used based on the new update in addition to the Prior Version, both versions may be used only on a compatible computer with the Prior Version installed.

12. Feedback

If the Customer provide any ideas, feedback, suggestions, materials, information, opinions, or other input to Live2D (“Feedback”), regardless of any accompanying communications, Live2D has no obligation to review, consider, or implement your Feedback, and all such submissions are made on a non-confidential basis. Live2D (and its successors and assigns) have unconditional and unlimited right to use, reproduce, modify and disclose such Feedback without any compensation or attribution, and the Customer waive and agree not to assert any so-called “moral rights” you may have in the Feedback.

13. Limited Warranty

13.1 Live2D, its affiliates, and resellers have no concern about your purpose to use the Software. Live2D, its affiliates, and resellers would not guarantee the performance and/or fitness of the Software for specific purpose, compatibility, non-infringement, or that the Software is error-free. In case the performance and/or function of the Software Live2D expresses does not meet your purpose, Live2D, its affiliates, and resellers would not be liable for refunding or replacement.

13.2 In case unexpected errors, bugs or those that are similar thereto are found on the Software, Live2D will disclose information on those errors, bugs etc. as necessary, and fix them where reasonable. Live2D can determine, at its sole discretion, necessity and timing of provision of information and/or fixation of defects, bugs and the like.

14. Limitation of Liability

Except for remedies that cannot be excluded or limited under the law, Live2D, its affiliates, and resellers will not be liable to customer for any loss, damages, claims, or costs whatsoever including any consequential, indirect or incidental damages, any lost profits or lost savings, any damages resulting from business interruption, personal injury or failure to meet any duty of care, or claims by a third party, arising from use of Software. In any event, Live2D's aggregate liability and that of its affiliates, and resellers under or in connection with this Agreement will be limited to the amount paid for the Software, if any.

15. Compensation for Damages

Customer shall be liable to Live2D for the damages arising out of engagement in any restricted actions set forth in “6. Restrictions and Requirements” or Customer's breach of this Agreement. In case Live2D takes legal actions due to Customer’s breach of this Agreement, Customer shall be liable to Live2D for reasonable attorney’s fees.

16. Internet Connectivity and Privacy

16.1 The Software may cause Customer’s Computer, without notice, to automatically connect to the Internet and to communicate with a Live2D server system for purposes such as license validation, activation, updating, and providing the Customer with additional information, features, or functionality.

16.2 Live2D may use Customer information to detect or prevent fraudulent or unauthorized use not in accordance with a valid license. Failure to activate or register the Software, or a determination by Live2D of fraudulent or unauthorized use of the Software may result in reduced functionality, or inoperability of the Software. Live2D will not be liable for any damage to the Customer due to actions which Live2D takes hereunder.

16.3 At the judgment of Live2D, notices about the Software or electronic mail as part of the functions may be transmitted to the registered address of the Customers.

16.4 Live2D reserves a right at its sole discretion to post on a public forum, FAQ, or Q&A part of discussions, such as Customer's support requests and Live2D's answers, in such a manner that the discussions do not contain any information unique to Customer's identity or privacy.

16.5 The Customer will refer to Live2D's Privacy Policy as set forth separately for matters concerning privacy.

17. Governing Law and Jurisdiction

17.1 This Agreement shall be governed by and construed in accordance with the law of Japan.

17.2 This Agreement shall be executed in Japanese language only, and the Japanese text shall prevail over any translation thereof.

17.3 The parties submit to the exclusive jurisdiction of the Tokyo District Court of Japan for the first instance with respect to all controversies arising from the interpretation and performance of this Agreement.

18. Survive

The provisions of Sections 5. (Intellectual Property), 7. (Confidentiality), 12. (Feedback), 13. (Limited Warranty), 14. (Limitation of Liability), 15. (Compensation for Damages) and 17. (Governing Law and Jurisdiction) and the provisions hereof shall remain in effect after expiration or termination of this Agreement.

19. General Provisions.

If any part of this Agreement, the terms listed on the Webpage or the Subscription Conditions are found void and unenforceable, it will not affect the validity of the balance thereof, which will remain valid and enforceable according to its terms. Live2D may at any time amend the Agreement as it sees fit, in which case the updated version of the Agreement will be posted on Live2D's website and take effect immediately from the date of updating indicated in the Agreement. The Japanese version of this Agreement will be the version used when interpreting or construing this Agreement. This is the entire agreement between Live2D and the Customer relating to the Software, and it supersedes any prior representations, discussions, undertakings, communications, or advertising relating to the Software.



1. 定義

1.1 「お客様」とは、本ソフトウェアを購入したお客様および当該お客様が所属する法人、ならびに当該お客様が所属する法人の従業員等を意味します。

1.2 「従業員等」とは、お客様の法人(または類似の企業体)の役員、被雇用者(常勤、非常勤、有期雇用、無期雇用を問いません)、契約社員、派遣社員、アルバイトその他の法人等と委任または雇用契約があり、本ソフトウェアを取得した法人等の業務に従事する者を意味します。

1.3 「本ソフトウェア」とは、Live2D社が本契約書を掲載するウェブサイト上で販売するソフトウェアのプログラム、埋め込まれている独自のスクリプト記述、画像、ドキュメント、修正版、コピー、アップグレード、アップデート、およびそれらの配布パッケージに同梱されるサンプル素材(以下に定義されています)および追加情報のすべてを意味します

1.4 「コンピューター」とは、デジタルまたは類似の形式の情報を受け取り、それを一連の命令に基づいて処理し、特定の結果を出力する仮想または物理的な1台の機器を意味します(デスクトップコンピューター、ラップトップ、タブレット、モバイルデバイス、通信機器、インターネット接続機器、およびさまざまな生産性型アプリケーション、娯楽アプリケーション、または他のソフトウェアアプリケーションを実行できるハードウェア製品を含みますがこれらに限定されません)。

1.5 「本ウェブページ」とは、Live2D社の管理するウェブサイトにおいて、本ソフトウェアの購入時に表示される、本ソフトウェアの価格及び購入条件を記載したウェブページを意味します。

1.6 「サブスクリプション条件」とは、Live2D社が別途定め、その管理するウェブサイトにおいて提供される、本ソフトウェアを継続的に有償で使用する際の価格及び各種条件に関する条件をいます。

2. 契約の成立

2.1 本契約は、お客様がLive2D社に対し、Live2D社の管理するウェブページにお客様の情報を記入した上で、本ソフトウェア購入の申込みを行い、Live2D社が当該申込みを承諾した旨の通知がお客様に到達したときに、成立したものとします。

2.2 本契約は、本ソフトウェアの売買に関する、Live2D社とお客様との一切の関係に適用されます。

3. 使用許諾

3.1 本ソフトウェアの使用許諾

3.1.1 お客様が本ソフトウェアを購入することにより、Live2D社はお客様に対し、本契約、本ウェブページ記載の条件及び別途定めるサブスクリプション条件に従い、本ソフトウェアを、お客様の管理するコンピューター最大2台までに限りインストールし、使用する権利を許諾します。

3.1.2 お客様は、その従業員等のうち1名に限り、本ソフトウェアを使用することができます。

3.1.3 3.1.1項の権利は、譲渡不可、再許諾不可の非独占的なものとします。

3.1.4 お客様は、本契約は、本ソフトウェアを3.1.1項により許諾された範囲を超え複製することを許諾するものではなく、本ソフトウェアを公衆送信、貸与、翻案その他3.1.1項に記載の態様以外で利用することを許諾するものでないことを確認します。

3.2 対価

3.2.1 お客様は、Live2D社に対し、本ソフトウェア購入の対価を、本ウェブページ記載の条件及び別途Live2D社が定めるサブスクリプション条件に従い、支払うものとします。

3.2.2 前項に基づき支払われた対価は、事由の如何を問わず返還されないものとします。

3.2.3 お客様が3.2.1項に定める対価の支払いを遅滞した場合、お客様は本契約締結時に別途Live2D社と合意した遅延損害金を加算して支払うものとします。

3.3 サブスクリプション条件


4. 本契約の適用範囲

4.1 お客様は、本ソフトウェアを第三者のコンピューターにインストールし、または、本ソフトウェアを従業員等以外の第三者に使用させることはできません。

4.2 お客様が、法人を代表して本契約を締結する場合、かかる法人およびその従業員等を本契約の条件で拘束せしめる権限を有していることを表明し、これを保証するものとします。

4.3 お客様は、本ソフトウェアの使用に際し、日本国内外の著作権法並びに著作者の権利及びこれに隣接する権利に関する諸条約その他知的財産権に関する全ての法令を遵守するものとします。

5. 知的財産権

5.1 本ソフトウェア、及びそのコピーについては、Live2D社が特許権、著作権等の知的財産権を有しており、日本およびその他の国の著作権法、ならびに国際条約の条項を含むがこれらに限定されない法律等によって保護されています。

5.2 本契約に明示的に規定される場合を除き、Live2D社は、本ソフトウェアの購入及び使用許諾、並びに本契約の締結により、お客様に対し本ソフトウェアの知的財産権の実施、利用等の許諾または譲渡をするものではありません。明確に付与されていないすべての権利はLive2D社に帰属します。

5.3 本ソフトウェア、Cybernoids、Live2Dの名前およびすべての関連するタイトルやロゴは日本および/またはその他の国におけるLive2D社の登録商標または商標です。その他の商標は、すべて、それぞれの所有者に帰属します。

7. 秘密保持


7.1 相手方から知得する以前に取得していた情報

7.2 相手方から取得する以前に公知であったか、又は相手方から知得した後に自らの責によらずに公知となった情報

7.3 正当な権限を有する第三者から秘密保持の義務を負わず知得した情報

7.4 法令の定めに基づき、又は権限のある官公庁から要求された情報

8. 契約の解除等

8.1 Live2D社は、お客様が次の各号に該当した場合(お客様が法人その他の団体の場合、その役員及び従業員等を含みます。)、お客様に対する催告を行うことなく、直ちに本契約を解除することができるものとします。

8.1.1 「6 禁止事項」に規定される禁止行為を行った場合

8.1.2 お客様が本契約、又は本契約と一体をなす本ウェブページ記載の条件若しくはサブスクリプション条件に定める条項に違反し、お客様に対して催告したにもかかわらず、合理的な期間内に当該違反が是正されなかった場合

8.1.3 Live2D社の他の顧客又は取引先その他の利益を不当に害した場合、又はLive2D社の信用、社会的名声若しく は地位を傷つけ、若しくはLive2D社の業務を妨害した場合

8.1.4 反社会的勢力(暴力団、総会屋、その他の反社会的な団体又は個人)であること若しくはあったことが判明した場合、 又は反社会的勢力と、目的の如何を問わず、資本関係、取引関係、人的関係等のあること若しくはあったことが判明した場合

8.1.5 監督官庁より営業の許可取消し、停止等の処分を受けた場合

8.1.6 支払停止若しくは支払不能の状態に陥った場合、又は手形若しくは小切手が不渡りとなった場合

8.1.7 第三者より差押え、仮差押え、仮処分若しくは競売の申立て、又は公租公課の滞納処分を受けた場合

8.1.8 破産手続開始、民事再生手続開始、会社更生手続開始、特別清算手続開始の申立てを受け、又は自ら申立てを行った場合

8.1.9 解散、会社分割、事業譲渡又は合併の決議をした場合

8.1.10 資産又は信用状態に重大な変化が生じ、本契約に基づく債務の履行が困難になるおそれがあると認められる場合

8.1.11 お客様が本契約の違反、又は本ソフトウェアに関する知的財産権の侵害により、Live2D社に損害を与えた場合

8.1.12 その他、前各号に準じる事由が生じた場合

8.2 前項各号のいずれかの事由に該当した場合、お客様は、Live2D社に対して負っている債務の一切について当然に期限の利益を失い、直ちにLive2D社に対して全ての債務の支払いを行わなければなりません。

8.3 本契約の解除がなされても、Live2D社は、お客様に対して有する損害賠償請求権の行使を妨げられません。

8.4 8.1項の定めにより本契約の解除がなされた場合、お客様は、本ソフトウェアおよびその複製物、派生作品や出力ファイル、その他本ソフトウェアの使用により派生するものを直ちに消去又は廃棄しなくてはならないものとします。

13. 限定的保証

13.1 Live2D社、その関連会社およびリセラーは、お客様が本ソフトウェアを使用する目的につき関知せず、本ソフトウェアの性能、互換性、非侵害、エラーがないこと、または特定目的への適合性について、一切の保証をいたしません。Live2D社が明示している本ソフトウェアの性能・機能が、お客様の使用目的に合致しなかったとしても、Live2D社、その関連会社およびリセラーは、お客様に返金や代用品の提供を行う責任を負いません。

13.2 本ソフトウェアの想定していないエラー、不具合(バグ)、またはそれに類するものが発見された場合、Live2D社は、必要に応じてその情報をお客様に開示するとともに、不具合等を合理的な範囲で修正いたします。ただし、情報提供または修正の必要性や時期についてはLive2D社が専らその裁量により決定いたします。

15. 損害賠償

お客様が、「6  禁止事項」に規定される禁止行為をし、又はその他本契約の各条項に違反した場合、Live2D社は、お客様に対し、これによりLive2D社が被った損害の賠償を請求できるものとします。Live2D社がお客様に対して法的措置を取ることを決定した場合、お客様がLive2D社の合理的な弁護士費用を負担するものとします。

16. 接続およびプライバシー

16.1 本ソフトウェアは、追加の通知を行うことなく、お客様の互換コンピューターをインターネットに自動的に接続し、お客様への追加の情報や機能の提供およびライセンスの確認やアクティベーション、アップデートなどの目的のためにLive2D社のサーバと通信を行う場合があります。

16.2 Live2D社は、有効な使用許諾に準拠しない不正な使用や不許可の使用を検出もしくは防止するためにお客様の情報を使用する場合があります。本ソフトウェアのアクティベーションまたは登録を行わない場合、もしくは本ソフトウェアが不正にまたは許可を得ないで使用されたとLive2D社が判定した場合、本ソフトウェアの利用停止、機能制限あるいは停止等の措置を講じる場合があります。Live2D社は、本項に基づきLive2D社が行った措置につきお客様に生じた損害について一切の責任を負いません。

16.3 Live2D社の判断に基づき、本ソフトウェアに関連する告知や、または機能の一環として、お客様の登録アドレスに対して、メールを送信する場合があります。

16.4 Live2D社は、お客様からのサポートリクエストの内容や回答について、プライバシーや個人が特定できる情報を除いた形で、フォーラムやQ&A、FAQ等の一般に公開されている場所に転載する権利を留保します。

17. 準拠法、管轄裁判所

17.1 本契約は日本法に準拠し、日本法に従って解釈されるものとします。

17.2 本契約は、日本語で締結され、日本語による解釈がいかなる言語による翻訳にも優先されるものとします。

17.3 本契約の解釈および履行に関して生じる一切の紛争の解決については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
