Free Material License Agreement

This Agreement is a legal contract made between you and Live2D Inc. (hereinafter “Live2D”) relating to license of the Material (as hereinafter defined).

By checking the box with links to this Agreement, clicking “accept” or by downloading, installing or using the Material (as hereinafter defined), you are agreeing that you understand this Agreement and accept all of its terms. If you do not agree to the terms of this Agreement, you may not use the Material.

1. Definitions

1.1 “License” means the right to use the Material to an extent of the conditions agreed upon between Live2D and you.

1.2 “Freeware” means the programs which Live2D distributes with indications of “free software” and “freeware” and any and all included unique script descriptions, images, documents, sample materials and additional information.

1.3 “Sample Code” means the program source codes which Live2D distributes with indications of “sample code” and “sample source code.”

1.4 “Live2D Original Character” means the characters and model data to which Live2D attaches the indication of “Live2D Original Character.”

1.5 “Collaboration Character” means the characters and model data to which Live2D attaches the indication of “Collaboration Character.”

1.6 “Model Data” means the output file distributed after output from the software which Live2D distributes.

1.7 “Material” means the Freeware, Sample Code, Live2D Original Character, Collaboration Character and Model Data defined in 1.2 to 1.6 above.

1.8 “Publish” means to produce the Derivative Works of the Customers using the Material that is accessible and available by distribution, transfer, broadcast, advertisement, announcement, sharing and other means, whether individually, internally, commercially, non-commercially or in any other ways. Live2D retains the right to determine whether or not an act by the Customer corresponds to “Publish” at its sole discretion.

1.9 “Distribute” means to perform, show, publicly transmit, display or distribute the Material, in whole or in part, or publications containing the Derivative Work and Output File that are produced using the Material available to third parties with or without consideration (including the introduction of all or part of the Material and Customer’s publications into a server for third parties with access via the Internet), or prepare for any of the foregoings..

1.10 “Redistribute” means to perform, show, publicly transmit, display or distribute part or whole duplicate of the Material, and make preparation thereof with or without consideration (including the introduction of all or part of the Material into a server for third parties with access via the Internet).

1.11 “Compatible Computer” means the Computer with the recommended operating system and hardware configuration for use of the Material.

1.12 “Computer” means a virtual or physical device that accepts information in digital or similar form and manipulates it for a specific result based on a sequence of instructions, including without limitation desktop computers, laptops, tablets, mobile devices, telecommunication devices, Internet-connected devices, and hardware products capable of operating a wide variety of productivity, entertainment, or other software applications.

1.13 “Representatives” means you and any individuals who are involved in operation of any legal entity (or similar business entity) that obtained the Material and on whose behalf it is used, including without limitation board of directors, employees (regardless of forms of employment such as full-time, part-time, temporary, or permanent), contract workers, agency staff, interns, and any other individuals employed or contracted to perform work on behalf of the Customer.

1.14 “Customer” means you and any legal entity that obtained the Material and on whose behalf it is used, and the Representatives of the legal entity of which you are a member; for example, and as applicable, your employer and your employees.

1.15 “Output File” means an output file the Customer creates with the Material.

1.16 “Sample Material” means materials supplied by Live2D as sample, including without limitation any data, artwork, image, design, and trademark.

1.17 “Derivative Work” means application, animation, or any work developed through using all or any part of the Material.

1.18 “Non-commercial” means the purpose of activities that are not intended for economical benefits of your own or that of third parties. Any direct or indirect activities by a company, its agents, or third parties acting in favor of the company are not deemed Non-commercial, even if such activities are led by individuals or informal groups.

1.19 “Internal” means the purpose of activities that are solely intended for and available to members within an organization or the Representatives within a legal entity or similar business entity.

1.20 “Supervision” means inspection and checking of the Output File and supervision of expression and operation.

1.21 “License Type” means a distinction among different types of the Licenses for the Material, i.e. “Free Software License”, “Live2D Original Character License”, and “Collaboration Character License”.

1.22 “General Users” means individuals, students, circles, private organizations and the like whose sales from commercial activities for the most recent fiscal year or for the past year if it operates without fiscal years (hereinafter referred to as the "Latest Sales") is less than 10 million yen. Any entities with Latest Sales of 10 million yen or more shall in no case be considered to be General Users regardless of its status and of its juridical personality's presence or absence.

1.23 “Non-commercial Organization Users” means circles, private organizations, incorporated educational institutions and the like. Individuals, corporations and other organizations that act at the request of or for the benefit of any individuals, corporations or other organizations shall not be considered to be Non-commercial Organization or Non-commercial Organization Users.

1.24 “Small-Scale Enterprises” shall mean enterprises with Latest Sales of less than 10 million yen (including individuals, corporations and other organizations that operate commercial activities), except for enterprises substantially managed by a company with the Latest Sales of 10 million yen or more (refer to Section 1.25 below).

1.25 The “enterprises substantially managed by a company with the Latest Sales of 10 million yen or more” described in the preceding Paragraph shall mean any of the following enterprises:

2. License Grant

Live2D grants the Customer a non-exclusive license (hereinafter “License”) to use the Material for the purpose (hereinafter “Purpose of Use”) and application defined according to License Type, provided such use is limited only for applications which does not correspond to Restricted Acts of this Agreement.

However, the License may be terminated without prior notice. Upon expiration or termination of the License Term, the Customer may not use the Material. When term of use is indicated respectively, the License shall be terminated by expiration of such term, then the Customer may not use the Material.

When the Customers agree to the terms and conditions of this Agreement regarding use of business, they shall represent and warrant that they are not Small-Scale Enterprises, or are Non-commercial Organization User.

2.1 License Type

2.1.1 Free Software License

The Customer is licensed to install, use the Freeware, and use the Output File irrespective of commercial or Non-commercial purposes.

2.1.2 Sample Code License

The Customer is licensed to use and alter all or a part of the Sample Code and Redistribute it in executable form irrespective of commercial or Non-commercial purposes.

2.1.3 Live2D Original Character License

The Customer, as long as the Customer complies with terms and conditions for utilizing each Live2D Original Character described in each download page thereof, is licensed to use, alter and Distribute Live2D Original Character for Purpose of Use only. Unless expressly permitted, the Customer may not use, or Distribute or Redistribute alternation of, the sound data included in the Material. When the Customer has downloaded each Live2D Original Character, the Customer shall be deemed to have understood and agreed with whole of the terms and condition for utilizing the Live2D Original Character and this Agreement.

2.1.3.1 Use by General User or Small-Scale Enterprise User

Purpose of Use: irrespective of commercial or Non-commercial purposes

2.1.3.2 Use by parities other than General User or Small-Scale Enterprise User

Purpose of Use: Internal or Supervision Purpose

2.1.4 Collaboration Character License

The Customer, as long as the Customer complies with terms and conditions for utilizing each Collaboration Character described in each download page thereof, is licensed to use, alter and Distribute the Collaboration Character for Purpose of Use only. Unless expressly permitted, the Customer may not use, or Distribute or Redistribute alternation of, the sound data included in the Material. When the Customer has downloaded each Collaboration Character, the Customer shall be deemed to have understood and agreed with whole of the terms and condition for utilizing the Collaboration Character and this Agreement.

2.1.4.1 Use by General User

Purpose of Use: Non-commercial purpose

2.1.4.2 Use by Non-commercial Organization User

Purpose of Use: Non-commercial purpose with prior consent of Live2D

2.1.4.3 Use by Enterprise User

Purpose of Use: Internal or Supervision purpose

2.1.5 Copyright Notice

The Customer, in the Derivative Work developed through using the Material, shall indicate the copyright notice designated in terms and conditions for utilizing each Live2D Original Character described in each download page thereof.

3. Intellectual Property

3.1 Unless expressly permitted hereunder, Live2D shall have intellectual property rights to the Material and copies thereof. These rights are protected by laws and regulations, including but not limited to the Copyright Acts of Japan and other countries and the provisions of international treaties.

3.2 Unless expressly provided for hereunder, Live2D will not grant or transfer to the Customers a license to exercise and use the intellectual property rights of the Material upon the execution of this Agreement. Any rights not expressly granted shall be vested in Live2D.

3.3 The name of this Material and all related titles and logos are trademarks of Live2D in Japan and/or other countries.

4. Restrictions and Requirements

4.1 Restricted Acts

4.1.1 No Redistribution

Except as expressly permitted in this Agreement, the Customer may not Redistribute all or part of the Material to third party.

4.1.2 No Modifications

Except as expressly permitted in this Agreement, the Customer may not modify (including significantly altering the original balance of the body of Live2D original character or externally licensed character), port, adapt, or translate the Material

4.1.3 No Reverse Engineering

The Customer may not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Freeware except in case which the Customer performs modifications of the Freeware for its own use and reverse engineering for debugging such modifications.

4.1.4 No Evasion of Security Means

The license authentication and encryption technologies accompanied with the Freeware are intended to prevent illegal use of the Freeware and other related products, and therefore the Customer may not ignore, evade or otherwise attempt to bypass these security means regardless of its intention.

4.1.5 No Transfer of Rights

The Customer may not rent, lease, sell, sublicense, assign, or transfer the rights with respect to the Material to third party.

4.1.6 No Transfer of Contractual Status

The Customer may not assign or transfer to any third party or have any third party succeed to the contractual status, rights and obligations granted to the Customers under this Agreement.

4.1.7 Other Restrictions

Use of the Material corresponding to any of the following items may not allowed.

5. Confidentiality

Neither Live2D nor the Customers shall divulge to any third party any information disclosed by the other party, technical and business secrets of the other party that become known to them or information that the other party identifies as secret (hereinafter collectively referred to as the “Confidential Information”) unless they obtain the prior written consent of the other party, except for the information set forth in the respective Items below:

5.1 Information that the receiving party obtains before the disclosing party provides it;

5.2 Information that is already in the public domain before the disclosing party provides it or that becomes publicly available through no fault of the receiving party after the disclosing party provides it;

5.3 Information that the receiving party obtains from a third party with the legitimate right without the obligation of confidentiality; and

5.4 Information that is required by laws or any competent public authorities.

6. Limited Warranty

6.1 Live2D would not guarantee the performance and/or fitness of the Material for specific purpose, compatibility, non-infringement, or that the Material is error-free. In case the performance, function or quality of the Material Live2D expresses does not meet Customer’s purpose, Live2D would not be liable for disclosing information of, or correcting the Material.

6.2 Except for remedies that cannot be excluded or limited under the law, Live2D will not be liable to the Customer for any loss, damages, claims, or costs whatsoever including any consequential, indirect or incidental damages, any lost profits or lost savings, any damages resulting from business interruption, personal injury or failure to meet any duty of care, or claims by a third party, arising from use of the Material.

7. Compensation for Damages and Cancellation

7.1 The Customer (when the Customers are corporations or any other organizations, including their officers and the Representatives) shall be liable to Live2D for the damages arising out of engagement in any restricted actions set forth in “4. Restrictions and Requirements” or Customer's breach of this Agreement. In case Live2D takes legal actions due to Customer’s breach of this Agreement, the Customer shall be liable to Live2D for reasonable attorney’s fees.

7.2 If any Customers fall under preceding section, Live2D may immediately cancel this Agreement without giving notice of demand to the Customers. Termination of the Agreement shall not prevent Live2D from exercising a claim for damages against the Customer.

7.3 If this Agreement is terminated pursuant to Section 7.2, the Customer shall promptly destroy the Material, all copies thereof, and all Derivative Work including the Output Files and any other derivatives arising from use of the Material.

8. Internet Connectivity and Privacy

8.1 Automatic Connections to the Internet.

The Freeware may cause Customer’s Computer, without notice, to automatically connect to the Internet and to communicate with a Live2D server system for purposes such as license validation, activation, updating, and providing the Customer with additional information, features, or functionality.

8.2 Live2D may use Customer information to detect or prevent fraudulent or unauthorized use not in accordance with a valid license. Determination by Live2D of fraudulent or unauthorized use of the Material may result in reduced functionality, or inoperability of the Material. Live2D will not be liable for any damage to the Customer due to actions which Live2D takes hereunder.

8.3 At the judgment of Live2D, notices about the Material or electronic mail as part of the functions may be transmitted to the registered address of the Customers.

8.4 Live2D reserves a right at its sole discretion to post on a public forum, FAQ, or Q&A part of discussions, such as Customer's support requests and Live2D's answers, in such a manner that the discussions do not contain any information unique to Customer's identity or privacy.

8.5 The Customer will refer to Live2D's Privacy Policy as set forth separately for matters concerning privacy.

9. Governing Law and Jurisdiction

9.1 This Agreement shall be governed by and construed in accordance with the law of Japan.

9.2 This Agreement shall be executed in Japanese language only, and the Japanese text shall prevail over any translation thereof.

9.3 The parties submit to the exclusive jurisdiction of the Tokyo District Court of Japan for the first instance with respect to all controversies arising from the interpretation and performance of this Agreement.

10. Survive

The provisions of Sections 3. (Intellectual Property), 5. (Confidentiality), 6. (Limited Warranty), 7. (Compensation for Damages and Cancellation) and 9. (Governing Law and Jurisdiction) and the provisions hereof shall remain in effect after expiration or termination of this Agreement.

11. General Provisions.

If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which will remain valid and enforceable according to its terms. Live2D may at any time amend the Agreement as it sees fit, in which case the updated version of the Agreement will be posted on Live2D's website and take effect immediately from the date of updating indicated in the Agreement. The Japanese version of this Agreement will be the version used when interpreting or construing this Agreement. This is the entire agreement between Live2D and the Customer relating to the Material, and it supersedes any prior representations, discussions, undertakings, communications, or advertising relating to the Material.

12. Specific Provisions and Exceptions

This section sets forth specific provisions related to certain products and components of the Material as well as limited exceptions to the above terms and conditions. To the extent that any provision in this section is in conflict with any other term or condition in this agreement, the terms stated in this section will supersede such other term or condition.

12.1 Pre-release Version Additional Terms

If the Material is provided with indication of product before official release or alpha or beta version (Collectively, the “Pre-release Material”), then this section applies.

12.1.1 The Customer may use the Material when the Customer agree that the Pre-release Material is not Live2D’s commercial product and may include bugs, errors, and other deficiencies which may arise system errors or data loss, and Live2D is not responsible for any damage.

12.1.2 If the Customer received the Pre-release Material pursuant to a separate written agreement or terms of use different from this Agreement, then Customer’s use of the Material is also governed by such agreement.

無償提供マテリアルの使用許諾契約書

本契約は、株式会社Live2D(以下、「Live2D社」といいます)と契約を締結されたお客様との間で、本マテリアル(以下に定義されています。)の使用許諾に関して定めるものです。

本契約へのリンクを含むボックスにチェックを入れる、「承諾」をクリックする、または本マテリアルをダウンロード、インストール、使用することにより、お客様は本契約を理解し、その条件にすべて合意したとみなされます。お客様は、本契約の条項全てに同意しない場合、本マテリアルを使用できません。

1. 定義

1.1 「ライセンス」とは、Live2D社とお客様とで合意した条件の範囲内で、本マテリアルを使用する権利を意味します。

1.2 「フリーウェア」とは、Live2D社により「フリーソフトウェア」「フリーウェア」と表示して配布されたプログラムと、同梱されている独自のスクリプト記述、画像、ドキュメント、サンプル素材および追加情報のすべてを意味します。

1.3 「サンプルコード」とは、Live2D社により「サンプルコード」「サンプルソースコード」と表示して配布されたプログラムソースコードを意味します。

1.4 「Live2Dオリジナルキャラクター」とは、Live2D社により「Live2Dオリジナルキャラクター」と表示されたキャラクターおよびモデルデータを意味します。

1.5 「コラボレーションキャラクター」とは、Live2D社により「コラボレーションキャラクター」と表示されたキャラクターおよびモデルデータを意味します。

1.6 「モデルデータ」とは、Live2D社が配布するソフトウェアによりあらかじめ出力して配布された出力ファイルを意味します。

1.7 「本マテリアル」とは、1.2項ないし1.6項に定義されたフリーウェア、サンプルコード、Live2Dオリジナルキャラクター、コラボレーションキャラクター、モデルデータを意味します。

1.8 「出版」とは、本マテリアルを使用して制作されたお客様の派生作品を個人的、内部的、営利、非営利またはその他のいかなる形であれ、頒布、譲渡、放送、宣伝、公開、共有等の方法で閲覧・利用可能にすることを意味します。出版に該当するか否かは、Live2D社が専らその裁量によって決定する権利を留保します。

1.9 「配布」とは、有償であるか無償であるかを問わず、本マテリアルの一部または全部、あるいは、派生作品および出力ファイルを含む、本マテリアルを使用して制作した出版物を、第三者が使用可能とすることを目的として、上演、上映、公衆送信、展示または頒布することおよびそれらの準備行為(インターネットを介してアクセスする第三者のために本マテリアルの一部または全部およびお客様の出版物をサーバーに導入することも含みます。)を意味します。

1.10 「再配布」とは、有償であるか無償であるかを問わず、入手した本マテリアルの一部または全部の複製物を、上演、上映、公衆送信、展示または頒布することおよびそれらの準備行為(インターネットを介してアクセスする第三者のために本マテリアルの一部または全部の複製物をサーバーに導入することも含みます。)を意味します。

1.11 「互換コンピューター」とは、本マテリアルの使用に推奨されるオペレーティングシステムおよびハードウェア構成で使用されるコンピューターを意味します。

1.12 「コンピューター」とは、デジタルまたは類似の形式の情報を受け取り、それを一連の命令に基づいて処理し、特定の結果を出力する仮想または物理的な1台の機器を意味します(デスクトップコンピューター、ラップトップ、タブレット、モバイルデバイス、通信機器、インターネット接続機器、およびさまざまな生産性型アプリケーション、娯楽アプリケーション、または他のソフトウェアアプリケーションを実行できるハードウェア製品を含みますがこれらに限定されません)。

1.13 「従業員等」とは、お客様およびお客様の法人(または類似の企業体)としての役員、被雇用者(常勤、非常勤、有期雇用、無期雇用を問いません)、契約社員、派遣社員、アルバイトその他の法人等と委任または雇用契約があり、本マテリアルを取得した法人等の業務に従事する者を意味します。

1.14 「お客様」とは、本マテリアルのライセンスを取得したお客様および当該お客様が所属する法人、ならびに当該お客様が所属する法人の従業員等を意味します。例えば、お客様の雇用主やお客様の従業員がこれにあたります。

1.15 「出力ファイル」とは、お客様が本マテリアルを使って作成する出力ファイルを意味します。

1.16 「サンプル素材」とは、Live2D社からサンプルとして提供されるデータ、キャラクター、イメージ、意匠、名称等を意味します。

1.17 「派生作品」とは、本マテリアルの全てまたは一部を使用して制作されたアプリケーション、アニメーションタイトル等の作品などを意味します。

1.18 「非営利」とは、自身(個人・法人その他の団体を含む。)の経済的利益を追求することを目的としない活動、および第三者を利することを目的としない活動を意味します。企業による活動、およびその依頼による、または、その利益のためにする活動は、たとえ活動の主体が個人や団体であっても非営利とは認められません。

1.19 「内部的」とは、特定の法人または類似の企業体においては従業員等のみ、および、特定の機関または団体においてはその構成員のみを対象とすることを意味します。

1.20 「監修」とは、出力ファイルを閲覧して確認し、表現や動作などについて監督することを意味します。

1.21 「ライセンスタイプ」とは、本マテリアルの使用許諾の種別を意味し、「フリーソフトウェアライセンス」「サンプルコードライセンス」「Live2Dオリジナルキャラクターライセンス」「コラボレーションキャラクターライセンス」があります。

1.22 「一般ユーザー」とは、直近会計年度(会計年度がない場合は過去1年間)の商業活動による売上高(以下「直近売上高」という。)が1,000万円未満の個人・学生・サークル・その他の団体を意味します。直近売上高が1,000万円以上の場合は、その形態・法人格の有無を問わず一般ユーザーとは認められません。

1.23 「非営利団体ユーザー」とは、サークル・任意団体・学校法人などを意味します。個人、法人その他の団体の依頼によって、または、その利益のために活動する団体は非営利団体および非営利団体ユーザーとは認められません。

1.24 「小規模事業者」とは、直近売上高が1,000万円未満の事業者(個人、法人その他の商業活動を営む団体を含む。)を意味します。ただし、直近売上高1,000万円以上の企業が実質的に運営している事業者(1.25項を参照してください。)は小規模事業者に該当しません。

1.25 前項の「直近売上高が1,000万円以上の企業が実質的に運営している事業者」とは、以下のいずれかの事項に該当する場合をいう:

2. ライセンス許諾

Live2D社は、お客様に対し、本契約に記載のライセンスタイプに応じて定められた目的(以下「使用等目的」といいます)および用途の範囲内で、かつ本契約で禁止される行為に該当しない用途に限定し、本マテリアルの非独占的な使用権(以下「本件ライセンス」といいます。)を、無償で許諾します。

ただし、本件ライセンスの許諾は事前に通知することなく終了される場合があります。本件ライセンスの許諾が終了した場合、お客様は本マテリアルを使用することはできません。また、個別に使用可能な期間の表示がある場合は、その期間の終了をもって、本件ライセンスの許諾は終了するものとし、お客様は本マテリアルを使用することはできません。

また、お客様が本マテリアルを事業で使用する目的をもって本契約の条件を受諾する場合、自らが小規模事業者もしくは小規模事業者以外であること、または非営利団体ユーザーの一員であることを表明し、これを保証するものとします。

2.1 ライセンスタイプ

2.1.1 フリーソフトウェアライセンス

お客様は、営利・非営利の目的を問わず、フリーウェアをインストール、使用し、またその出力ファイルを使用することを許諾されます。

2.1.2 サンプルコードライセンス

お客様は、営利・非営利の目的を問わず、サンプルコードとその一部を使用、改変し、また実行形式による再配布を行うことができます。

2.1.3 Live2Dオリジナルキャラクターライセンス

お客様は、各Live2Dオリジナルキャラクターのダウンロードページ等に記載された利用条件に従う場合に限り、本契約に記載の使用等目的の用途に従って、Live2Dオリジナルキャラクターを使用、改変し、また配布することができます。また明示的に許可された場合を除き、本マテリアルに含まれる音声データについては、これを使用、改変して配布したり、再配布することはできません。お客様は、各Live2Dオリジナルキャラクターをダウンロードすることにより、ダウンロードページ等に記載された利用条件および本契約を理解し、その条件にすべて合意したとみなされます。

2.1.3.1 一般ユーザーおよび小規模事業者による使用の場合

使用等目的: 営利・非営利の目的を問わない

2.1.3.2 一般ユーザーおよび小規模事業者以外による使用の場合

使用等目的: 内部的または監修目的

2.1.4 コラボレーションキャラクターライセンス

お客様は、各コラボレーションキャラクターのダウンロードページ等に記載された利用条件に従う場合に限り、本契約に記載の使用等目的の用途に従って、コラボレーションキャラクターを使用、改変し、また配布することができます。ただし、お客様は、コラボレーションキャラクターを営利目的で使用、改変また配布することはできません。また明示的に許可された場合を除き、本マテリアルに含まれる音声データについては、これを使用、改変して配布したり、再配布することはできません。お客様は、各コラボレーションキャラクターをダウンロードすることにより、ダウンロードページ等に記載された利用条件および本契約を理解し、その条件にすべて合意したとみなされます。

2.1.4.1 一般ユーザーによる使用の場合

使用等目的: 非営利目的

2.1.4.2 非営利団体ユーザーによる使用の場合

使用等目的: 事前にLive2D社の承諾がある場合の非営利目的

2.1.4.3 事業者による使用の場合

使用等目的: 内部的または監修目的

2.1.5 著作権等の表記

お客様は、ダウンロードページ等に記載された利用条件に定める著作権等に係る表示を本マテリアルを使用して制作した派生作品に行う義務を負うものとします。

3. 知的財産権

3.1 個別の明示がない限り、本マテリアルおよびそのコピーについては、Live2D社が知的財産権を有しており、日本およびその他の国の著作権法、ならびに国際条約の条項を含むがこれらに限定されない法律等によって保護されています。

3.2 本契約に明示的に規定される場合および個別の明示がない限り、Live2D社は、本契約の締結により、お客様に対し本マテリアルの知的財産権の実施、利用等の許諾または譲渡をするものではありません。明確に付与されていないすべての権利はLive2D社に帰属します。

3.3 本マテリアルの名前およびすべての関連するタイトルやロゴは日本および/またはその他の国におけるLive2D社の商標です。

4. 禁止事項

4.1 禁止される行為

4.1.1 再配布の禁止

お客様は、本契約により明示的に許可される場合を除き、本マテリアルの一部または全部を第三者へ再配布することはできません。

4.1.2 改変等の禁止

お客様は、本契約により明示的に許可される場合を除き、本マテリアルに対する修正、移植、翻案、翻訳等の改変(Live2Dオリジナルキャラクターおよびコラボレーションキャラクターの体のバランスを著しく崩すことを含みます。)を加えることはできません。

4.1.3 リバースエンジニアリングの禁止

フリーウェアに関し、リバースエンジニアリング、逆コンパイル、逆アセンブル、解読を行うなどして、当該フリーウェアのソースコードの解読を試みることはできません。ただし、お客様が自己のためにのみ行うような当該フリーウェアの修正や、そのような修正をデバッグするためのリバースエンジニアリングについてはその限りではありません。

4.1.4 技術的保護手段回避の禁止

フリーウェアにライセンス認証および暗号化技術が含まれる場合は、当該フリーウェアおよび関連製品の不正使用を防止することを目的としているため、これらの技術上の保護手段を無視または回避すること、またその回避を試みることはその目的のいかんにかかわらず禁止されます。

4.1.5 本マテリアルに関する権利の譲渡の禁止

お客様は、本マテリアルに関するお客様の権利を第三者に賃貸、リース、販売、サブライセンス、譲渡もしくは移転することはできません。

4.1.6 本契約に関する契約上の地位等の譲渡の禁止

お客様は、本契約に基づいてお客様に付与される契約上の地位、権利及び義務を、第三者に対して譲渡、移転し、又は引き受けさせることはできません。

4.1.7 その他の禁止事項

以下に記載する禁止事項のいずれかに該当する場合は、本マテリアルの使用は禁止されます。

5. 秘密保持

Live2D社およびお客様は、事前に相手方の書面による同意を得た場合を除き、相手方から開示された情報、知り得た相手方の技術上および営業上の秘密、相手方から秘密である旨の指定を受けた情報(以下総称して、「秘密情報」という。)を、第三者に漏洩してはならないものとします。ただし、次の各号に掲げるものについては、この限りではありません。

5.1 相手方から知得する以前に取得していた情報

5.2 相手方から取得する以前に公知であったか、又は相手方から知得した後に自らの責によらずに公知となった情報

5.3 正当な権限を有する第三者から秘密保持の義務を負わず知得した情報

5.4 法令の定めに基づき、又は権限のある官公庁から要求された情報

6. 免責

6.1 Live2D社は、本マテリアルの性能、互換性、非侵害、エラーがないこと、または特定目的への適合性について、一切の保証をいたしません。また、Live2D社が明示している本マテリアルの性能・機能・品質が、お客様の使用目的に合致しなかったとしても、Live2D社は本マテリアルに関する情報の開示や修正などを行う一切の責任を負いません。

6.2 法律上除外または制限することのできない救済手段を除き、Live2D社は、本マテリアルの使用から直接または間接的に生起した問題について、直接損害、拡大損害、派生損害、間接損害、付随的損害、利益の喪失、貯蓄の喪失、または事業の中断、障害、注意義務違反もしくは第三者からの請求に基づくすべての損害を含むがこれらに限定されない一切の損失、損害、請求もしくは費用について、お客様に対して賠償する責を負わないものとします。

7. 損害賠償及び契約の解除

7.1 お客様(お客様が法人その他の団体の場合、その役員及び従業員等を含みます。)が、「4. 禁止事項」に規定される禁止行為をし、又はその他本契約の各条項に違反した場合、Live2D社は、お客様に対し、これによりLive2D社が被った損害の賠償を請求できるものとします。Live2D社がお客様に対して法的措置を取ることを決定した場合、お客様がLive2D社の合理的な弁護士費用を負担するものとします。

7.2 Live2D社は、お客様が前項に該当した場合、お客様に対する催告を行うことなく、直ちに本契約を解除することができるものとします。本契約の解除がなされても、Live2D社は、お客様に対して有する損害賠償請求権の行使を妨げられません。

7.3 7.2項に定める規定により本契約が終了した場合、お客様は、本マテリアルおよびその複製物、派生作品や出力ファイル、その他本マテリアルの使用により派生するものを直ちに廃棄しなくてはならないものとします。

8. 接続およびプライバシー

8.1 インターネットへの自動接続

フリーウェアは、追加の通知を行うことなく、お客様の互換コンピューターをインターネットに自動的に接続し、お客様への追加の情報や機能の提供およびライセンスの確認やアクティベーション、アップデートなどの目的のためにLive2D社のサーバと通信を行う場合があります。

8.2 Live2D社は、有効なライセンスに準拠しない不正な使用や不許可の使用を検出もしくは防止するためにお客様の情報を使用する場合があります。本マテリアルが不正にまたは許可を得ないで使用されたとLive2D社が判定した場合、本マテリアルの利用停止、機能制限あるいは停止等の措置を講じる場合があります。Live2D社は、本項に基づきLive2D社が行った措置につきお客様に生じた損害について一切の責任を負いません。

8.3 Live2D社の判断に基づき、本マテリアルに関連する告知や、または機能の一環として、お客様の登録アドレスに対して、メールを送信する場合があります。

8.4 Live2D社は、お客様からのサポートリクエストの内容や回答について、プライバシーや個人が特定できる情報を除いた形で、フォーラムやQ&A、FAQ等の一般に公開されている場所に転載する権利を留保します。

8.5 プライバシーに関してはLive2D社のプライバシーポリシーを参照ください。

9. 準拠法、管轄裁判所

9.1 本契約は日本法に準拠し、日本法に従って解釈されるものとします。

9.2 本契約は、日本語で締結され、日本語による解釈がいかなる言語による翻訳にも優先されるものとします。

9.3 本契約の解釈および履行に関して生じる一切の紛争の解決については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

10. 残存条項

本契約の終了後においても、3.(知的財産権)、5.(秘密保持)、6.(免責)、7.(損害賠償および契約の解除)、9. (準拠法、管轄裁判所)および本項の規定については、引き続き効力を有するものとします。

11. 一般条項

本契約の一部が無効であり強制力を有しないものとされた場合においても、その他の有効な部分は影響を受けず、その条件に従って効力および強制力を維持します。Live2D社は、本契約を必要に応じて随時改定することができ、その場合、本契約書はウェブページ等に表示された後、そこに記載されている最新の改定日から効力を発するものとします。本契約書を解釈するにあたっては、本契約の日本語版を使用します。本契約はLive2D社およびお客様の本マテリアルに関する完全な合意であり、本マテリアルに関する本契約締結以前の表明、交渉、了解、通信連絡、広告のすべてに優先します。

12. 個別規定および例外

本条は、本マテリアルの一部またはすべてに関する固有の規定および上記条項に関する一部例外を規定します。本条の規定が本契約の他の条項と矛盾する場合、本条がそれらの条項に優先するものとします。

12.1 プレリリース版の補足条件

本マテリアルが正式リリース以前の製品またはアルファ版およびベータ版(以下総称して「プレリリース版マテリアル」といいます)が付された表示を伴って提供される場合は、本条が適用されます。

12.1.1 お客様は、プレリリース版マテリアルが、Live2D社から提供される最終製品に相当するものではなく、バグ、エラーおよびシステム障害等またはデータの損失につながるその他の不具合を含む可能性があることに同意し、かつLive2D社から提供される最終製品との互換性が保証されないことに同意し、またLive2D社がいかなる賠償の責を負わないことに同意する場合に限り、本マテリアルの使用することができます。

12.1.2 本契約とは異なる契約書あるいは利用規約に基づいてお客様がプレリリース版マテリアルおよびその使用を可能にするライセンスを受領した場合は、本マテリアルの使用は、同時にその契約書の適用も受けます。
