Live2D Proprietary Software License Agreement

Applicable Software

This Agreement is a legal contract made between you and Live2D Inc. (hereinafter “Live2D”).

By checking the box with links to this Agreement, clicking “accept” or by downloading, installing or using the Software (as hereinafter defined), you are agreeing that you understand this Agreement and accept all of its terms. If you do not agree to the terms of this Agreement, you may not use the Software.

You may have another written agreement directly with Live2D (e.g. a volume license agreement) that supplements or supersedes all or portions of this agreement. Use of some Live2D materials, network resources, sample materials and services included in or accessed through the Software may be subject to additional terms and conditions.

1. Definitions

1.1 “Software” means programs, any proprietary scripting embedded, source codes, graphics, documents as well as modified versions and copies thereof, upgrades, updates, and any and all additional information to the Applicable Software indicated above provided to the Customer.

1.2 “Representatives” means you and any individuals who are involved in operation of any legal entity (or similar business entity) that obtained the Software and on whose behalf it is used, including without limitation board of directors, employees (regardless of forms of employment such as full-time, part-time, temporary, or permanent), contract workers, agency staff, interns, and any other individuals employed or contracted to perform work on behalf of the Customer.

1.3 “Customer” means you and any legal entity that obtained the Software License (defined in Section 2.1) and on whose behalf it is used, and the Representatives of the legal entity of which you are a member; for example, and as applicable, your employer and your employees.

1.4 “Derivative Work” means application, animation, or any work developed through using all or any part of the Software.

1.5 “Expandable Application” means any Derivative W ork having significant expandability. In particular, it includes the Derivative Work which uses and generates any indefinite number of models by adding or combining files or data (e.g. avatars, live streaming applications, video generators/video makers), or, the Derivative Work containing multiple or other works in one title, or accessible to such works through one title (e.g. collection of relevant works or portal).

1.6 “Publish” means to produce the Derivative Works of the Customers using the Software that is accessible and available by distribution, transfer, broadcast, advertisement, announcement, sharing and other means, whether individually, internally, commercially, non-commercially or in any other ways. Live2D retains the right to determine whether or not an act by the Customer corresponds to “Publish” at its sole discretion.

1.7 “Non-commercial” means the purpose of activities that are not intended for economical benefits of your own or that of third parties. Any direct or indirect activities by a company, its agents, or third parties acting in favor of the company are not deemed Non-commercial, even if such activities are led by individuals or informal groups.

1.8 “Internal” means the purpose of activities that are solely intended for and available to members within an organization or the Representatives within a legal entity or similar business entity.

1.9 “Training” means the act for the Customer to become proficient in handling or in functions of the Software and Compatible Computers which use the Software.

1.10 “Output File” means an output file the Customer creates with the Software.

1.11 “End User” means individuals or groups that ultimately use the Derivative Work and Output File.

1.12 “Distribute” means to perform, show, publicly transmit, display or distribute the Software, Source Code and Object Code (as hereinafter defined), in whole or in part, or publications containing the Derivative Work and Output File that are produced using the Software available to third parties with or without consideration (including the introduction of all or part of the Software and Customer’s publications into a server for third parties with access via the Internet), or prepare for any of the foregoings..

1.13 “Distributor” means individuals or groups that Distribute publications containing the Derivative Work and Output File that are produced using the Software on behalf of the Customer.

1.14 “Redistribute” means to perform, show, publicly transmit, display or distribute of part or whole duplicate of the Software, and preparation thereof with or without consideration (including the introduction of all or part of the Software into a server for third parties with access via the Internet).

1.15 “Redistributable Code” means the Object Code form or Source Code form which is indicated in the “RedistributableFiles.txt” file included in the Software, indicated in the appendix attached to the Agreement, or specified separately by Live2D to the Customer.

1.16 “Source Code” means the software program in a form that people can read that is included in the Software or that Live2D specifies separately to the Customer. This includes all the modules included in the software program, the definition file of the relevant interfaces and the scripts used for the control of the installation of the files that can be compiled and executed (Object Code).

1.17 “Object Code” means the software program in a form that the Compatible Computer can execute that is included in the Software or that Live2D specifies separately to the Customer. This includes all the modules included in the software program, the relevant library files and the files of intermediate data representation including the binary code resulting from the compilation of Source Code.

1.18 “Compatible Computer” means the Computer (as hereinafter defined) with the recommended operating system and hardware configuration for use of the Software.

1.19 “Computer” means a virtual or physical device that accepts information in digital or similar form and manipulates it for a specific result based on a sequence of instructions, including, without limitation, desktop computers, laptops, tablets, mobile devices, telecommunication devices, Internet-connected devices, and hardware products capable of operating a wide variety of productivity, entertainment, or other software applications.

1.20 “Membership” collectively refers to the membership status that fulfills the conditions for the use of the software and services that Live2D offers and the rights and obligations arising therefrom. Such conditions may be amended from time to time at the sole discretion of Live2D.

1.21 “General Users” shall mean individuals, students, circles, private organizations and the like whose sales from commercial activities for the most recent fiscal year or for the past year if it operates without fiscal years (hereinafter referred to as the "Latest Sales") is less than 10 million yen. Any entities with the Latest Sales of 10 million yen or more shall in no case be considered to be General Users regardless of its status and of its juridical personality's presence or absence.

1.22 “Small-Scale Enterprises” shall mean enterprises with the Latest Sales of less than 10 million yen (including individuals, corporations and other organizations that operate commercial activities).

1.23 “Middle-Scale Enterprises” shall mean enterprises with the Latest Sales of 10 million yen or more and less than 100 million yen (including individuals, corporations and other organizations that operate commercial activities).

1.24 “Large-Scale Enterprises” shall mean enterprises with the Latest Sales of 100 million yen or more (including individuals, corporations and other organizations that operate commercial activities).

1.25 If “Small-Scale Enterprises” or “Middle-Scale Enterprises” are enterprises under substantial management by other enterprises (defined below), the business scale of “Small-Scale Enterprises” or “Middle-Scale Enterprises” shall be determined by the Latest Sales of such other enterprises.

1.23 The “enterprises substantially managed by a company with the Latest Sales of 10 million yen or more” described in the preceding Paragraph shall mean any of the following enterprises:

2. Software License and Publication License Agreement

2.1 Software License and Exemption of Publication

Provided that the Customer complies with all terms and conditions of this Agreement, Live2D grants the Customer, a limited, non-exclusive, non-sublicensable, and non-transferable license to use the Software for the sole purpose of Publishing the Derivative Work. However, except for the case falling under Section 2.2, the Customer may not Publish or Distribute Derivative Work for personal, Internal, Non-commercial, commercial, or any other purposes unless otherwise agreed in writing with Live2D. To Publish and Distribute the Derivative Work, the Customer must execute and enter into a separate “Live2D Publication License Agreement”. Live2D reserves a right to publicize Customer's Derivative Work as examples and results of use of the Software. Please contact Live2D Customer Support for Live2D Publication License Agreement. Live2D reserves a right at its sole discretion to terminate this Agreement against certain Customer.

For Publishing Expandable Application, prior to executing “Live2D Publication License Agreement”, Customer shall make an application in advance and obtain approval by Live2D. Live2D may, at its sole discretion, approve or reject such application. Moreover, the terms and conditions in “Live2D Publication License Agreement” for Expandable Application will be different from those for Publishing general Derivative Work.

2.2 Exemption of Publication License Agreement to General Users and Small-Scale Enterprises

Provided that General Users and Small-Scale Enterprises comply with all terms and conditions of this Agreement, Live2D may exempt such party from entering into “Live2D Publication License Agreement” and paying the applicable license fee. However, if the Customer is not deemed as qualified General Users or Small-scale Enterprises, then such Customer is not entitled to any exemption from any duties or obligations. Even if the Customer is once notified of its qualification, such qualification may later at any time be canceled or void. Live2D can determine, at its sole discretion, whether the Customer is qualified or not. Live2D will not accept any objection or protest regarding qualification, or explain or provide information about such qualification process. General User and Small-Scale Enterprise shall notify Live2D if its fiscal sales exceeds 10 million yen during a fiscal year or if its sales for past one year exceeds 10 million yen when it operates without fiscal years until the end of the month after next. When such notification is made or when Live2D proves that a General User's or Small-Scale Enterprise's annual sales exceeds 10 million yen, such General User or Small-Scale Enterprise shall enter into "Live2D Publication License Agreement" retroactively from the month in which its annual sales exceeded 10 million yen. General Users and Small-Scale Enterprises shall submit document necessary for calculating sales amount thereof if requested by Live2D. Also, this exemption is not applicable for Publishing the Expandable Application set forth herein the Section 6.3 in this Agreement.

2.3 Determination of License Fee in accordance with Business Scale

License fee to be paid by the Customer under “Live2D Publication License Agreement” provided by Live2D shall be determined in accordance with the business scale of the Customer. The business scale is classified to General Users, Small-Scale Enterprises, Middle-Scale Enterprises or Large-Scale Enterprises based on the Latest Sales of the Customer. As defined in the Section 1.25 in this Agreement, if the Customer is substantially managed by another enterprise, the business scale of the Customer shall be determined by the Latest Sales of such enterprise.

3. Scope of Agreement

3.1 The Customer may not install the Software on the Compatible Computer of any third party or allow any third party to use the Software. If the Customer intends to allow a third party to use Customer's Compatible Computer on which the Software is installed, the Customer must cause the third party to comply with this Agreement and shall be held responsible for such compliance.

3.2 If the Customer is entering into this Agreement and accepting all of its terms on behalf of a legal entity, the Customer declares and guarantees that the Customer has the authority to represent the legal entity and its Representatives and to hold them liable to this Agreement.

3.3 The Customer shall observe the Copyright Acts of Japan and other countries, the treaties regarding the rights of authors and the neighboring rights thereof and any other laws and regulations regarding the intellectual property rights in the use of the Software.

4. Intellectual Property

4.1 The Software and any authorized copies thereof are the intellectual property of and are owned by Live2D. A structure, configuration and the Source Code of this Software is Live2D’s confidential information. Any and all of intellectual property of this Software are protected by law, including but not limited to the copyright laws of Japan and other countries, and by international treaty provisions.

Except as expressly stated herein, this Agreement does not grant or transfer to the Customer any intellectual property rights in the Software. All rights not expressly granted are reserved by Live2D. If the Software, or any data relating to the Software or data referred by the Software include intellectual property right of third party, the Customer shall not infringe such intellectual property right.

4.2 The Customer owns the title, copyright, and other intellectual property rights in the Derivative Work, but ownership of any intellectual properties, such as patent right, copyright and the like, of the Software and any portion(s) of the Software remains with Live2D. Live2D may seek and shall be entitled to injunctive, equitable, or other similar relief to protect, maintain, defend, enforce, and preserve such rights, in addition to any other available remedies. Furthermore, the Customer agrees that Live2D has such right to seek said remedies.

4.3 Cybernoids, Live2D, any name in this Software and all related titles and logos are either registered trademarks or trademarks of Live2D in Japan and/or other countries. All other trademarks are the property of their respective owners.

5. Redistributable Code

As set forth in this Agreement, the Software may include the codes that can be Redistributed by including them in the Derivative Work and Output File. If the Redistributable Code is included in the Software, the Customer may copy and Redistribute the Redistributable Code under the following conditions only to make the Derivative Work and Output File that are produced by using the Software available to the End Users.

5.1 Right of Use and Redistribution

The Customer may copy and distribute the Redistributable Code. In addition, the Customer may allow the Distributors of Derivative Works and Output Files to copy and distribute the Redistributable Code as a part of the Derivative Works and Output Files of the Customer.

5.2 Conditions for Redistribution

The Customer shall follow the following provisions regarding any and all of the Redistributable Code that the Customer distributes.

5.2.1 Add important major functions that use the Redistributable Code to Customer’s Derivative Works and Output Files.

5.2.2 Have the Distributors and End Users of Customer’s Derivative Works and Output Files agree to the provisions for the protection of the Redistributable Code that are equivalent to those hereunder.

5.2.3 Exempt, defend and indemnify Live2D against costs incurred and claims from third parties regarding the distribution or use of Customer’s Derivative Works and Output Files (including attorney’s fees).

5.2.4 Redistribute the Redistributable Code on an as is basis when Live2D provides it, either in Object Code form or in Source Code form.

5.3 Restrictions on Redistribution

The Customer may not engage in the following acts.

5.3.1 Use the trademark of Live2D in the name of the Derivative Works and Output Files without executing the Publication License Agreement set forth in Article 2 of this Agreement or make an indication or implication that causes the misunderstanding that the Derivative Works and Output Files are made, certified and recommended by Live2D. In this regard, for the method of appropriate use of the trademark of Live2D, refer to the “guidelines for Live2D’s logo and brand.”

5.3.2 Alter or distribute the Source Code of the Redistributable Code in such a way that the excluded license is applied to part of the Redistributable Code. For the purpose of this Section, the “excluded license” means the license that meets the following conditions for use, alteration or redistribution: (i) its code is released or distributed in the source code form; or (ii) a third party may alter its code.

6. Restrictions and Requirements

Live2D reserves all rights not expressly granted to the Customer in this Agreement. Unless applicable law gives the Customer more rights notwithstanding this limitation, the Customer may use the Software only as expressly permitted in this Agreement.

The Customer may not do the following:

6.1 No Modifications

Except as expressly permitted in this Agreement, the Customer may not modify, port, adapt, or translate the Software, and manuals, help and other relevant materials provided incidental thereto. The Customer may not alter, amend or remove any indication about license included in the Software.

6.2 No Distribution, Disclosure or Bundling

Except as expressly permitted in this Agreement, the Customer may not distribute or disclose all or part of this Software, or bundle the same with the Derivative Work.

6.3 No Unauthorized Publication

Except in the case the exemption defined in the Section 2.2 is applied, the Customer may not Publish Derivative Works without executing “Live2D Publication License Agreement” with Live2D.

6.4 No Reverse Engineering

The Customer may not reverse engineer, decompile, disassemble, or otherwise attempt to discover the Source Code of the Software.

6.5 No Transfer of Rights

Except as expressly permitted in this Agreement, the Customer will not rent, lease, sell, sublicense, assign, or transfer its rights in the Software, or authorize any portion of the Software to be copied onto another individual or legal entity's Compatible Computer. If the Customer intends to contract a third party to perform work that requires use of the Software, the applicable third party must obtain its own license directly from Live2D.

6.6 No Transfer of Contractual Status

Except as expressly permitted in this Agreement, the Customer may not assign or transfer to any third party or have any third party succeed to the contractual status, rights and obligations granted to the Customers under this Agreement.

6.7 No Service Bureau

The Customer will not use or offer the Software on a service bureau basis to other individuals or legal entities not owning the Software License.

6.8 Other Restrictions

7. Confidentiality

Neither Live2D nor the Customers shall divulge to any third party any information disclosed by the other party, technical and business secrets of the other party that become known to them or information that the other party identifies as secret (hereinafter collectively referred to as the “Confidential Information”) unless they obtain the prior written consent of the other party, except for the information set forth in the respective Items below:

7.1 Information that the receiving party obtains before the disclosing party provides it;

7.2 Information that is already in the public domain before the disclosing party provides it or that becomes publicly available through no fault of the receiving party after the disclosing party provides it;

7.3 Information that the receiving party obtains from a third party with the legitimate right without the obligation of confidentiality; and

7.4 Information that is required by laws or any competent public authorities.

8. Cancellation and Termination of Agreement

8.1 Cancellation

If any Customers fall under any of the cases set forth in the respective Items below (when the Customers are corporations or any other organizations, including their officers and the Representatives), Live2D may immediately cancel this Agreement without giving notice to the Customers.

8.1.1 If any Customers engage in the prohibited acts stipulated under Section 6. Restriction and Requirements;

8.1.2 If any Customers breach the provisions of this Agreement and fail to correct the breach within a reasonable period upon notice to them;

8.1.3 If any Customers wrongfully damage the interests of Live2D’s other customers or clients or if any Customers impair the trust, social reputation or status of Live2D or hinder the operations of Live2D;

8.1.4 If it is found that any Customers are or have been antisocial forces (organized crime groups, corporate racketeers and other antisocial organizations or persons) or if it is found that any Customers have or had any capital, business, personal or other relationships with antisocial forces for any purposes;

8.1.5 If any Customers are subject to the revocation of a business permit, suspension of business or other disposition by the competent authorities;

8.1.6 If any Customers suspend payment or become insolvent, or if any Customers dishonor a bill or check;

8.1.7 If any third party files a petition against any Customers for attachment, provisional seizure, provisional disposition or auction, or if any Customers are subject to the disposition of delinquency in the payment of taxes and other public charges;

8.1.8 If a petition is filed against any Customers for the institution of the proceedings for bankruptcy, civil rehabilitation, corporate reorganization or special liquidation, or if any Customers file such a petition;

8.1.9 If any Customers pass a resolution of dissolution, company split, business transfer or merger;

8.1.10 If upon any substantial change in the assets or credit standing of any Customers, it is considered that it may be difficult for them to perform the obligations under this Agreement;

8.1.11 If any Customers violate this Agreement or infringe the intellectual property rights to the Software and cause damage to Live2D; and

8.1.12 If any cases arise that are similar to those described in the respective Items above.

8.2 If any of the cases described in the respective Items of the preceding Paragraph apply, \the Customer shall automatically forfeit the benefit of time in relation to all obligations owed to Live2D and immediately pay Live2D all obligations.

8.3 Termination of the Agreement shall not prevent Live2D from exercising a claim for damages against the Customer.

8.4 If this Agreement is terminated pursuant to Section 8.1, the Customer shall promptly destroy the Software, all copies thereof, and all Derivative Work including the Output Files and any other derivatives arising from use of the Software.

9. Amendments

The provisions of this Agreement may be amended from time to time as necessary, at Live2D’s sole discretion. Live2D shall publicly announce any amendments to the provisions of this Agreement on its website and the like, and the amended provisions shall become effective from the date of the latest amendment.

10. Limited Warranty

10.1 Live2D, its affiliates, and resellers have no concern about your purpose to use the Software. Live2D, its affiliates, and resellers would not guarantee the performance and/or fitness of the Software for specific purpose, compatibility, non-infringement, or that the Software is error-free. In case the performance and/or function of the Software Live2D expresses does not meet your purpose, Live2D, its affiliates, and resellers would not be liable for refunding or replacement.

10.2 Live2D does not warrant the Software to be fully compatible with Customer's target platforms (e.g. iOS, Android, Sony PlayStation, etc.). The Customer understands and agrees that some functions or expressive features of the Software may not function with the target platform(s), and that some features of expressions of the target platform(s) may not function with the Software.

10.3 In case unexpected errors, bugs or those that are similar thereto are found on the Software, Live2D will disclose information on those errors, bugs etc. as necessary, and fix them where reasonable. Live2D can determine, at its sole discretion, necessity and timing of provision of information and/or fixation of defects, bugs and the like.

11. Limitation of Liability

Except for remedies that cannot be excluded or limited under the law, Live2D, its affiliates, and resellers, will not be liable to the Customer for any loss, damages, claims, or costs whatsoever including any consequential, indirect or incidental damages, any lost profits or lost savings, any damages resulting from business interruption, personal injury or failure to meet any duty of care, or claims by a third party, even if a Live2D representative has been advised of the possibility of such loss, damages, claims, or costs. In any event, Live2D's aggregate liability and that of its affiliates, and resellers under or in connection with this Agreement will be limited to the amount paid for the Software, if any.

12. Compensation for Damages

The Customer shall be liable to Live2D for the damages arising out of engagement in any restricted actions set forth in “6. Restrictions and Requirements” or Customer's breach of this Agreement. In case Live2D takes legal actions due to Customer’s breach of this Agreement, the Customer shall be liable to Live2D for reasonable attorney’s fees.

13. Privacy

13.1 Live2D may use Customer information to detect or prevent fraudulent or unauthorized use not in accordance with a valid license, or the Membership. Failure to activate or register the Software, validate the Membership, or a determination by Live2D of fraudulent or unauthorized use of the Software may result in reduced functionality, inoperability of the Software, or a termination or suspension of the Membership. Live2D will not be liable for any damage to the Customer due to actions which Live2D takes hereunder.

13.2 At the judgment of Live2D, notices about the Software or electronic mail as part of the functions may be transmitted to the registered address of the Customers.

13.3 Live2D reserves a right at its sole discretion to post on a public forum, FAQ, or Q&A part of discussions, such as Customer's support requests and Live2D's answers, in such a manner that the discussions do not contain any information unique to Customer's identity or privacy.

13.4 The Customer will refer to Live2D's Privacy Policy as set forth separately for matters concerning privacy.

14. Feedback and Contributions

14.1 If the Customer provide any ideas, feedback, suggestions, materials, information, opinions, or other input to Live2D (“Feedback”), regardless of any accompanying communications, Live2D has no obligation to review, consider, or implement Customer’s Feedback, and all such submissions are made on a non-confidential basis. Live2D (and its successors and assigns) have unconditional and unlimited right to use, reproduce, modify and disclose such Feedback without any compensation or attribution, and the Customer waive and agree not to assert any so-called “moral rights” the Customer may have in the Feedback.

14.2 If the Customer provides any programs (in either Source Code form or Object Code form) relating to the Software, in whole or in part, and other information or contents (“Contributions”) to Live2D through any means (including but not limited to forums, wiki, source code repositories, electronic mail and blogs), the Customer shall assign half of ownership of such rights, titles and interests including the copyrights (including the rights set forth in Articles 27 and 28 of the Japanese Copyright Act), patent rights and any other intellectual property rights, all of which are included in such Contributions (“Rights to Contributions”) to Live2D. However, the programs or contents, etc. that the Customer uses together with the Software in such a form as Live2D cannot use them shall not be the Contributions set forth herein.

14.3 The Customer shall grant an irrevocable, transferable, sublicensable, royalty-free and non-exclusive license in relation to the ownership interest of the rights of Contributions owned by the Customer set forth in the preceding Section. The Customer shall agree that Live2D may conduct any and all usage relating to Contributions including copy, Distribute, disclose, produce, use, sell, lend, offer to assign, import, alter, adapt, or otherwise produce the Derivative Work based on the Contributions. The Customer agrees not to exercise any right based on ownership interest relating to its own Contributions against other licensees.

14.4 The Customer shall agree not to exercise any of the rights relating to the Contributions set forth in the preceding Section that cannot be licensed under laws (including but not limited to moral rights) for licensees other than Live2D and the Customer. In case Live2D uses the Contributions provided by the Customer, such Customer shall agree Live2D to indicate as sole copyright owner of such Contributions.

14.5 The Customer may continue to freely use Feedback that you provide to Live2D and may continue to use the Contributions that Live2D may use according to this Agreement. The Customer shall understand and agree that Live2D shall not be obligated to use Feedback or Contributions that the Customer provides.

14.6 The Customer shall represent and warrant the following matters regarding the Feedback or the Contributions provided to Live2D.

14.6.1 That the Customer has the rights relating to the Feedback or the Contributions that customer provides or that the Customer has the legal authority relating to them and that there is not any security, license or encumbrance of any kind.

14.6.2 That Feedback or Contributions that the Customer provides will not infringe or violate the rights of any third parties (including patent rights, copyrights and other intellectual property rights).

15. Governing Law and Jurisdiction

15.1 This Agreement shall be governed by and construed in accordance with the law of Japan.

15.2 This Agreement shall be executed in Japanese language only, and the Japanese text shall prevail over any translation thereof.

15.3 The parties submit to the exclusive jurisdiction of the Tokyo District Court of Japan for the first instance with respect to all controversies arising from the interpretation and performance of this Agreement.

16. Survive

The provisions of Sections 4. (Intellectual Property), 7. (Confidentiality), 10. (Limited Warranty), 11. ( Limitation of Liability), 12. (Compensation for Damages), 14. ( Feedback and Contributions) and 15 (Governing Law and Jurisdiction) and the provisions hereof shall remain in effect after expiration or termination of this Agreement.

17. General Provisions.

If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which will remain valid and enforceable according to its terms. Live2D may at any time amend the Agreement as it sees fit, in which case the updated version of the Agreement will be posted on Live2D's website and take effect immediately from the date of updating indicated in the Agreement. The Japanese version of this Agreement will be the version used when interpreting or construing this Agreement. This is the entire agreement between Live2D and the Customer relating to the Software, and it supersedes any prior representations, discussions, undertakings, communications, or advertising relating to the Software.

18. Specific Provisions and Exceptions

This section sets forth specific provisions related to certain products and components of the Software as well as limited exceptions to the above terms and conditions. To the extent that any provision in this section is in conflict with any other term or condition in this agreement, the terms stated in this section will supersede such other term or condition.

18.1 Pre-release Software Additional Terms

If the Software is a product before official release or a beta version of our software (hereinafter the “Pre-release Software”), then this section applies. The Pre-release Software is not Live2D’s commercial product and may include bugs, errors, and other deficiencies which may arise system errors or data loss. If the Customer received the Pre-release Software pursuant to a separate written agreement or terms of use different from this Agreement, then Customer’s use of the Software is also governed by such agreement.

18.1.1 The Pre-release Software is not Live2D’s commercial product and may include bugs, errors, and other deficiencies which may arise system errors or data loss.

18.1.2 If the Customer received the Pre-release Software pursuant to a separate written agreement or terms of use different from this Agreement, then Customer’s use of the Software is also governed by such agreement.

Live2D Proprietary Software 使用許諾契約書

対象ソフトウェア

本契約は、株式会社Live2D(以下、「Live2D社」といいます)と契約を締結されたお客様との間で、本ソフトウェア(以下に定義されています。)の使用許諾に関して定めるものです。

本契約へのリンクを含むボックスにチェックを入れる、「承諾」をクリックする、または本ソフトウェアをダウンロード、インストール、使用することにより、お客様は本契約を理解し、その条件にすべて合意したとみなされます。お客様は、本契約の全ての条項に同意しない場合、本ソフトウェアを使用できません。

お客様は、本契約の全部または一部を補足し、またはこれに優先して適用される別個の契約(例えば、ボリュームライセンス契約)を直接Live2D社と締結している場合があります。それにより、本ソフトウェアに含まれるか、または本ソフトウェアを通じてアクセスする一部のLive2D社の文書、ネットワーク資源、サンプル素材およびサービスの使用については、追加の条件が適用される場合があります。

1. 定義

1.1 「本ソフトウェア」とは、お客様に提供された上記対象ソフトウェアのプログラム、埋め込まれている独自のスクリプト記述、ソースコード、画像、ドキュメント、修正版、コピー、アップグレード、アップデートおよび追加情報のすべてを意味します。

1.2 「従業員等」とは、お客様およびお客様の法人または類似の企業体の役員、被雇用者(常勤、非常勤、有期雇用、無期雇用を問いません)、契約社員、派遣社員、アルバイトその他の法人等と委任または雇用契約があり、本ソフトウェアを取得した法人等の業務に従事する者を意味します。

1.3 「お客様」とは、本ソフトウェアのライセンス(本契約書第2条に規定されています。)を取得したお客様および当該お客様が所属する法人、ならびに当該お客様が所属する法人の従業員等を意味します。例えば、お客様の雇用主やお客様の従業員等がこれにあたります。

1.4 「派生作品」とは、本ソフトウェアの全てまたは一部を使用して制作されたアプリケーション、アニメーションタイトル等の作品などを意味します。

1.5 「拡張性アプリケーション」とは、大幅な拡張機能を有する派生作品を意味します。具体的には、ファイルやデータの追加や組み合わせ等によって不特定多数のモデルやデータを利用および生成する派生作品(例:アバター、配信アプリ、動画生成ツール)、単一タイトルの中に複数の作品や別の作品を内包しているもしくは単一タイトルを通じてこれらにアクセスできる派生作品(例:関連作品のコレクションやポータル)が含まれます。

1.6 「出版」とは、本ソフトウェアを使用して制作されたお客様の派生作品を個人的、内部的、営利、非営利またはその他のいかなる形であれ、頒布、譲渡、放送、宣伝、公開、共有等の方法で閲覧・利用可能にすることを意味します。出版に該当するか否かは、Live2D社が専らその裁量によって決定する権利を留保します。

1.7 「非営利」とは、自身(個人・法人その他の団体を含む。)の経済的利益を追求することを目的としない活動、および第三者を利することを目的としない活動を意味します。企業による活動、およびその依頼による、または、その利益のためにする活動は、たとえ活動の主体が個人や団体であっても非営利とは認められません。

1.8 「内部的」とは、特定の法人または類似の企業体においては従業員等のみ、および、特定の機関または団体においてはその構成員のみを対象とすることを意味します。

1.9 「トレーニング」とは、お客様が本ソフトウェアおよび本ソフトウェアを使用する互換コンピューターの取り扱いまたはその機能に習熟するための行為を意味します。

1.10 「出力ファイル」とは、お客様が本ソフトウェアを使用して作成する出力ファイルを意味します。

1.11 「エンドユーザー」とは、派生作品および出力ファイルを最終的に使用する個人または団体を意味します。

1.12 「配布」とは、有償であるか無償であるかを問わず、本ソフトウェア、ソースコード、オブジェクトコード(以下に定義されています。)の一部または全部、あるいは、派生作品および出力ファイルを含む、本ソフトウェアを使用して制作した出版物を、第三者が使用可能とすることを目的として、上演、上映、公衆送信、展示または頒布することおよびそれらの準備行為(インターネットを介してアクセスする第三者のために本ソフトウェアの一部または全部およびお客様の出版物をサーバーに導入することも含みます。)を意味します。

1.13 「配布者」とは、派生作品および出力ファイルを含む、本ソフトウェアを使用して制作した出版物を配布する行為をお客様の代理で行う個人または団体を意味します。

1.14 「再配布」とは、有償であるか無償であるかを問わず、入手した本ソフトウェアの一部または全部の複製物を、上演、上映、公衆送信、展示または頒布することおよびそれらの準備行為(インターネットを介してアクセスする第三者のために本マテリアルの一部または全部の複製物をサーバーに導入することも含みます。)を意味します。

1.15 「再配布可能コード」とは、本ソフトウェアに含まれる”RedistributableFiles.txt”ファイルに示された、および本契約書に添付された付録に示された、およびLive2D 社がお客様に別途指定するオブジェクトコード形式またはソースコード形式を意味します。

1.16 「ソースコード」とは、本ソフトウェアに含まれる、またはLive2D 社がお客様に別途指定する、人が読み取れる形式のソフトウェアのプログラムを意味します。これには、そのソフトウェアのプログラムに含まれているすべてのモジュール、関連するインターフェースの定義ファイル、コンパイルおよび実行可能ファイル(オブジェクトコード)のインストールを制御するために使用されるスクリプトが含まれます。

1.17 「オブジェクトコード」とは、本ソフトウェアに含まれる、またはLive2D 社がお客様に別途指定する、互換コンピューターが実行可能な形式のソフトウェアのプログラムを意味します。これには、そのソフトウェアのプログラムに含まれているすべてのモジュール、関連するライブラリファイル、ソースコードをコンパイルした結果であるバイナリコードを含む中間的なデータ表現のファイルが含まれます。

1.18 「互換コンピューター」とは、本ソフトウェアの使用に推奨されるオペレーティングシステムおよびハードウェア構成で使用されるコンピューター(以下に定義されています。)を意味します。

1.19 「コンピューター」とは、デジタルまたは類似の形式の情報を受け取り、それを一連の命令に基づいて処理し、特定の結果を出力する仮想または物理的な1台の機器を意味します(デスクトップコンピューター、ラップトップ、タブレット、モバイルデバイス、通信機器、インターネット接続機器、およびさまざまな生産性型アプリケーション、娯楽アプリケーション、または他のソフトウェアアプリケーションを実行できるハードウェア製品を含みますがこれらに限定されません)。

1.20 「会員資格」とは、Live2D社が提供するソフトウェアおよびサービスを利用するための条件を満たす会員としての地位およびこれに伴う権利義務の総称を指します。この条件は、Live2D社の単独裁量により随時変更される可能性があります。

1.21 「一般ユーザー」とは、直近会計年度(会計年度がない場合は過去1年間)の商業活動による売上高(以下「直近売上高」という。)が1,000万円未満の個人・学生・サークル・その他の団体を意味します。直近売上高が1,000万円以上の場合は、その形態・法人格の有無を問わず一般ユーザーとは認められません。

1.22 「小規模事業者」とは、直近売上高が1,000万円未満の事業者(個人、法人その他の商業活動を営む団体を含みます。)を意味します。

1.23 「中規模事業者」とは、直近売上高が1,000万円以上、1億円未満の事業者(個人、法人その他の商業活動を営む団体を含みます。)を意味します。

1.24 「大規模事業者」とは直近売上高が1億円以上の事業者(個人、法人その他の商業活動を営む団体を含みます。)を意味します。

1.25 小規模事業者、中規模事業者が、他企業が実質的に運営している事業者(以下に定義されています。)である場合、その事業者の事業規模は実質的に運営している企業の売上高によって決定されます。

2. ソフトウェア使用の許諾と出版許諾契約

2.1 使用の許諾と出版権の除外

お客様が本契約の全ての条件に従うことを条件に、Live2D社は、派生作品を出版する目的に限り本ソフトウェアを使用する限定的、非独占的、サブライセンス不可、および譲渡不可の使用権(以下「本件ライセンス」といいます。)をお客様に供与します。

ただしお客様は、本条第2項に該当する場合を除き、内部的、営利、非営利またはその他のいかなる形であれ、Live2D社との個別の契約をしない限り、派生作品を出版することはできません。派生作品を出版する場合、お客様とLive2D社の間で別途「Live2D 出版許諾契約書」を締結する必要があります。Live2D社は、お客様が出版する当該派生作品について、本ソフトウェアの採用実績として媒体・形式を問わず公開する権利を留保します。「Live2D 出版許諾契約書」の申込はLive2D社のカスタマーサポートに直接お問い合わせください。Live2D社はその判断に基づき、特定のお客様に対して本契約を解除する権利を留保します。

なお、拡張性アプリケーションの出版には「Live2D出版許諾契約書」の締結のほかお客様の事前の申請とLive2D社の承認が必要であり、申請の承認はLive2D社の裁量に委ねられるものとします。また、拡張性アプリケーションのための「Live2D出版許諾契約書」の条件は一般的な派生作品を出版するための条件とは異なるものとなります。

2.2 一般ユーザーおよび小規模事業者への出版許諾契約免除

Live2D社は、一般ユーザーおよび小規模事業者に対し、本契約の全ての条件に従うことを条件に、前項の「Live2D 出版許諾契約書」の締結およびその契約料を免除することができます。ただし、お客様が適格な一般ユーザーまたは小規模事業者と判断されない場合、本項に定める免除は直ちに取り消されます。一旦適格と判断されたとしても、後に不適格と判断される場合もあり、この場合も不適格と判断された時点で本項に定める免除は直ちに取り消されます。適格の判断についてはLive2D社が専らその裁量により行います。Live2D社は、決定に関する異議・申し立てを受け付けないほか、決定方法に関する情報提供や説明を行う義務を負いません。また、一般ユーザーおよび小規模事業者であっても、会計年度の途中での売上高が1000万円を超えた場合および会計年度がない場合は過去1年間の売上高が1000万円を超えた場合、翌々月末日までにその旨をLive2D社に通知するものとします。当該通知があった場合およびLive2D社が一般ユーザーおよび小規模事業者の一会計年度における売上高(会計年度がない場合は過去1年間の売上高)が1000万円を超えていることを証明できた場合、その一般ユーザーおよび小規模事業者は、売上高が1000万円を超えた月に遡ってLive2D社「Live2D出版許諾契約書」を締結するものとします。なお、一般ユーザーおよび小規模事業者は、Live2D社から要求された場合は、自らの売上高を計算するのに必要な資料を提出するものとします。また、6.3項に定める規定により、拡張性アプリケーションの出版については、本項に定める免除の対象になりません。

2.3 事業規模に基づく契約料の決定

Live2D社が定める「Live2D出版許諾契約書」の契約料は、お客様の事業規模に基づいて決定されます。事業規模は直近の年間の売上高によって一般ユーザー、小規模事業者、中規模事業者、大規模事業者に分類されます。なお、1.25項に記載の通り、実質的に運営している企業が異なる場合、事業規模は実質的に運営している企業の年間の売上高によって決定されます。

3. 本契約の適用範囲

3.1 お客様は、本ソフトウェアを第三者の互換コンピューターにインストールし、または、本ソフトウェアを第三者に使用させることはできません。お客様は、本ソフトウェアをインストールした互換コンピューターを第三者に使用させる場合、当該第三者に本項の規定を遵守させるものとし、かつ、その履行に責任を負うものとします。

3.2 お客様が、法人を代表して本契約を締結する場合、かかる法人およびその従業員等を本契約の条件で拘束せしめる権限を有していることを表明し、これを保証するものとします。

3.3 お客様は、本ソフトウェアの使用に際し、日本国内外の著作権法並びに著作者の権利及びこれに隣接する権利に関する諸条約その他知的財産権に関する全ての法令を遵守するものとします。

4. 知的財産権

4.1 本ソフトウェア、およびそのコピーについては、Live2D社が特許権、著作権等、一切の知的財産権を有します。本ソフトウェアの構造、構成およびソースコードは、Live2D社に帰属する機密情報です。本ソフトウェアの知的財産権は、日本およびその他の国の著作権法、ならびに国際条約の条項を含むがこれらに限定されない法律等によって保護されています。

本契約に明示的に規定される場合を除き、Live2D社は、本ソフトウェアの購入および本契約の締結により、お客様に対し本ソフトウェアの知的財産権の実施、利用等の許諾または譲渡をするものではありません。明確に付与されていないすべての権利はLive2D社に帰属します。なお、本ソフトウェアおよび本ソフトウェアに関連するならびに本ソフトウェアが参照するデータの中に第三者が知的財産権を保有するものが含まれる場合、お客様は当該知的財産権を侵害しないものとします。

4.2 お客様ご自身が開発、出版、販売した派生作品の著作権その他の知的財産権はお客様が保有しますが、それに含まれる本ソフトウェアおよび本ソフトウェアの特許権、著作権等、一切の知的財産権はLive2D社が保有しています。Live2D社はかかる権利を行使、保護、維持、擁護、強制、および保全するために、差し止め、衡平法上の救済、またはその他の類似の救済、さらにその他利用可能な救済を求めることができ、さらにそのような救済を得る権利をLive2D社が保有していることに、お客様は同意するものとします。

4.3 Cybernoids、Live2D、および本ソフトウェアに含まれる名前およびすべての関連するタイトルやロゴは日本および/またはその他の国におけるLive2D社の登録商標または商標です。その他の商標は、すべて、それぞれの所有者に帰属します。

5. 再配布可能コード

本ソフトウェアには、本契約書に記載されているとおり、派生作品や出力ファイルに含めて再配布可能なコードが含まれている場合があります。再配布可能なコードが含まれている場合、お客様は、本ソフトウェアを利用した派生作品や出力ファイルを、エンドユーザーが使用できるようにするための目的に限り、以下の条件の下で、再配布可能コードを複製および再配布することができます

5.1 使用及び再配布の権利

お客様は、再配布可能コードを複製および再配布することができます。さらに、お客様は、派生作品や出力ファイルの配布者に対して、お客様の派生作品や出力ファイルの一部として再配布可能コードの複製および再配布を許可することができます。

5.2 再配布の条件

お客様は、お客様が配布するあらゆる再配布可能コードにつき、以下に従わなければなりません。

5.2.1 お客様の派生作品や出力ファイルにおいて再配布可能コードを利用する重要かつ主要な機能を追加すること。

5.2.2 お客様の派生作品や出力ファイルの配布者およびエンドユーザーに、本契約と同等の再配布可能コードを保護する条項に同意させること。

5.2.3 お客様の派生作品や出力ファイルの配布または使用に関して生じた費用および第三者からの請求(弁護士報酬を含みます)について、Live2D社を免責、防御、および補償すること。

5.2.4 再配布可能コードがオブジェクトコード形式またはソースコード形式である場合に関わらず、Live2D社が提供した現状のまま再配布を行うこと。

5.3 再配布の制限

お客様は、以下を行うことはできません。

5.3.1 本契約第2条に規定する出版許諾契約を結ばずに、お客様が派生作品や出力ファイルの名前にLive2D社の商標を使用すること、ならびに派生作品や出力ファイルがLive2D社の作成、公認、推奨に係るものであると誤認させるような表示、示唆を行うこと。なお、Live2D社の商標の適切な使用方法については、「Live2Dのロゴとブランドについてのガイドライン」を参照ください。

5.3.2 再配布可能コードの一部に除外ライセンスが適用されることとなるような方法で再配布可能コードのソースコードを改変または配布すること。本項における「除外ライセンス」とは、使用、改変、または再配布の条件として、(ⅰ)コードがソースコード形式で公開または配布されていること、または(ⅱ)第三者がコードを改変できることを満たすライセンスを意味します。

6. 禁止事項

お客様は、本ソフトウェアを使用するにあたり、次の行為をしてはならないものとします。お客様は、法律に特段の定めのない限り、本ソフトウェアを本契約にて明示的に許可された方法でのみ使用できます。なお、Live2D社は、本契約においてお客様に明示的に付与または許諾されていないすべての権利を留保します。

6.1 改変等の禁止

本契約内で明示的に許可される場合を除き、お客様は、本ソフトウェアおよびそれに付随して提供されるマニュアル、ヘルプ等の関連資料を、使用、複製し、または本ソフトウェアに対する修正、移植、翻案、翻訳等の改変を加えることはできません。また、本ソフトウェアに含まれるライセンスに関する記載を改変・修正・削除することはできません。

6.2 配布・公開・同梱の禁止

本契約内で明示的に許可される場合を除き、お客様は、本ソフトウェアの全部または一部を配布・公開したり派生作品に同梱したりすることはできません。

6.3 無断出版の禁止

2.2項に定める規定によって免除されている場合を除き、本ソフトウェアを使って開発した派生作品を、「Live2D 出版許諾契約書」の締結なく出版することはできません。

6.4 リバース エンジニアリングの禁止

お客様は、本ソフトウェアのリバースエンジニアリング、逆コンパイルまたは逆アセンブルを行うなどして、本ソフトウェアのソースコードの解読を試みることはできません。

6.5 譲渡の禁止

本契約内で明示的に許可される場合を除き、お客様は、本ソフトウェアに関するお客様の権利を第三者に賃貸、リース、販売、サブライセンス、譲渡もしくは移転すること、または本ソフトウェアのいずれかの部分を他の個人もしくは法人の互換コンピューターにコピーさせることはできません。お客様が本ソフトウェアを使った業務を第三者に委託する場合、該当する第三者が直接Live2D社と本契約を締結する必要があります。

6.6 本契約に関する契約上の地位等の譲渡の禁止

本契約内で明示的に許可される場合を除き、お客様は、本契約に基づいてお客様に付与される契約上の地位、権利及び義務を、第三者に対して譲渡、移転し、又は引き受けさせることはできません。

6.7 代理使用請負サービスの禁止

お客様は、本件ライセンスを保有していない第三者に対して、出力業務等、本ソフトウェアの代理使用を業務内容とする請負サービス等を提供できません。

6.8 その他の禁止事項

7. 秘密保持

Live2D社およびお客様は、事前に相手方の書面による同意を得た場合を除き、相手方から開示された情報、知り得た相手方の技術上および営業上の秘密、相手方から秘密である旨の指定を受けた情報(以下総称して、「秘密情報」という。)を、第三者に漏洩してはならないものとします。ただし、次の各号に掲げるものについては、この限りではありません。

7.1 相手方から知得する以前に取得していた情報

7.2 相手方から取得する以前に公知であったか、又は相手方から知得した後に自らの責によらずに公知となった情報

7.3 正当な権限を有する第三者から秘密保持の義務を負わず知得した情報

7.4 法令の定めに基づき、又は権限のある官公庁から要求された情報

8. 契約の解除等

8.1 契約の解除

Live2D社は、お客様が次の各号に該当した場合(お客様が法人その他の団体の場合、その役員及び従業員等を含みます。)、お客様に対する催告を行うことなく、直ちに本契約を解除することができるものとします。

8.1.1 「6.禁止事項」に規定される禁止行為を行った場合

8.1.2 お客様が本契約に定める条項に違反し、お客様に対して催告したにもかかわらず、合理的な期間内に当該違反が是正されなかった場合

8.1.3 Live2D社の他の顧客又は取引先その他の利益を不当に害した場合、又はLive2D社の信用、社会的名声若しく は地位を傷つけ、若しくはLive2D社の業務を妨害した場合

8.1.4 反社会的勢力(暴力団、総会屋、その他の反社会的な団体又は個人)であること若しくはあったことが判明した場合、 又は反社会的勢力と、目的の如何を問わず、資本関係、取引関係、人的関係等のあること若しくはあったことが判明した場合

8.1.5 監督官庁より営業の許可取消し、停止等の処分を受けた場合

8.1.6 支払停止若しくは支払不能の状態に陥った場合、又は手形若しくは小切手が不渡りとなった場合

8.1.7 第三者より差押え、仮差押え、仮処分若しくは競売の申立て、又は公租公課の滞納処分を受けた場合

8.1.8 破産手続開始、民事再生手続開始、会社更生手続開始、特別清算手続開始の申立てを受け、又は自ら申立てを行った場合

8.1.9 解散、会社分割、事業譲渡又は合併の決議をした場合

8.1.10 資産又は信用状態に重大な変化が生じ、本契約に基づく債務の履行が困難になるおそれがあると認められる場合

8.1.11 お客様が本契約の違反、又は本ソフトウェアに関する知的財産権の侵害により、Live2D社に損害を与えた場合

8.1.12 その他、前各号に準じる事由が生じた場合

8.2 前項各号のいずれかの事由に該当した場合、お客様は、Live2D社に対して負っている債務の一切について当然に期限の利益を失い、直ちにLive2D社に対して全ての債務の支払いを行わなければなりません。

8.3 本契約の解除がなされても、Live2D社は、お客様に対して有する損害賠償請求権の行使を妨げられません。

8.4 8.1項に定める規定により本契約が終了した場合、お客様は、本件ソフトウェアおよびその複製物、派生作品や出力ファイル、その他本ソフトウェアの使用により派生するものを直ちに廃棄しなくてはならないものとします。

9. 契約の変更

本契約は、Live2D社の独自の判断により、必要に応じて随時その内容を変更することができるものとします。なお、Live2D社は、本契約の内容を変更する場合には、その旨を事前にLive2D社のウェブページ等にて公表するものとし、変更した内容は、最新の改定日から効力を有するものとします。

10. 限定的保証

10.1 Live2D社は、お客様が本ソフトウェアを使用する目的につき関知せず、本ソフトウェアの性能、互換性、非侵害、エラーがないこと、または特定目的への適合性について、一切の保証をいたしません。Live2D社が明示している本ソフトウェアの性能・機能が、お客様の使用目的に合致しなかったとしても、Live2D社は、お客様に返金や代用品の提供を行う責任を負いません。

10.2 Live2D社は、本ソフトウェアの対象となるプラットフォーム(例:iOS, Android, Sony PlayStation など)に対する、完全な互換性を約束しません。お客様は、本ソフトウェアに関する機能や表現が対象となるプラットフォームで動作しない場合があり、対象プラットフォームに関する機能や表現が本ソフトウェアで動作しない場合があることを理解し、同意するものとします。

10.3 本ソフトウェアの想定していないエラー、不具合(バグ)、対象プラットフォームやデバイスとの互換性に関する問題が発見された場合、Live2D社は、必要に応じてその情報をお客様に開示するとともに、不具合等を合理的な範囲で修正します。ただし、情報提供または修正の必要性や時期についてはLive2D社が専らその裁量により決定することができます。

11. 責任の制限

法律上除外または制限することのできない救済手段を除き、Live2D社は、本ソフトウェアの使用から直接または間接的に生起した問題について、直接損害、拡大損害、派生損害、間接損害、付随的損害、利益の喪失、貯蓄の喪失、または事業の中断、傷害、注意義務違反もしくは第三者からの請求に基づくすべての損害を含むがこれらに限定されない一切の損失、損害、請求もしくは費用について、お客様に対して賠償する責を負わないものとします。いかなる場合においても、本契約に起因または関連して、Live2D社が負う責任の総額は、本ソフトウェアのライセンスの対価としてお客様が支払った金額を上限とします。

12. 損害賠償

お客様が、「6.禁止事項」に規定される禁止行為をし、又はその他本契約の各条項に違反した場合には、Live2D社は、これによりLive2D社が被った損害の賠償をお客様に請求できるものとします。Live2D社がお客様に対して法的措置を取ることを決定した場合、お客様がLive2D社の合理的な弁護士費用を負担するものとします。

13. プライバシー

13.1 Live2D社は、有効なライセンス、または会員資格に準拠しない不正な使用や不許可の使用を検出もしくは防止するためにお客様の情報を使用する場合があります。本ソフトウェアのアクティベーションまたは登録、または会員資格の確認を行わない場合、もしくは本ソフトウェアが不正にまたは許可を得ないで使用されたとLive2D社が判定した場合、本ソフトウェアの利用停止、機能制限あるいは停止等の措置を講じる場合があります。Live2D社は、本項に基づきLive2D社が行った措置につきお客様に生じた損害について一切の責任を負いません。

13.2 Live2D社の判断に基づき、本ソフトウェアに関連する告知や、または機能の一環として、お客様の登録アドレスに対して、メールを送信する場合があります。

13.3 Live2D社は、お客様からのサポートリクエストの内容や回答について、プライバシーや個人が特定できる情報を除いた形で、フォーラムやQ&A、FAQ等の一般に公開されている場所に転載する権利を留保します。

13.4 プライバシーに関してはLive2D社のプライバシーポリシーを参照ください。

14. フィードバックおよび貢献物

14.1 お客様からLive2D社に対してアイデア、フィードバック、提案、資料、情報、意見その他のインプット(以下「フィードバック」といいます。)が提供されても、説明文などの添付の有無を問わず、Live2D社はお客様のフィードバックを検討したり実施したりする義務はなく、かかるフィードバックは機密扱いとはなりません。Live2D社(その承継人や譲受人を含みます)は、お客様への報酬または帰属性なしに、かかるフィードバックを使用、複製、改変および開示する権利があり、お客様はフィードバックに対するいわゆる「人格権」を放棄し、これを主張しないことに合意します。

14.2 お客様が何らかの手段 (フォーラム、wiki、ソースコードリポジトリ、電子メール、ブログ等を含みますが、それらの方法に限られません。)を通じて本ソフトウェアに関するあらゆるプログラム(ソースコード形式、オブジェクトコード形式を問いません。)の全部または一部、その他の情報またはコンテンツ(以下「貢献物」といいます。)をLive2D社に対して提供した場合、お客様は、Live2D社に対し、かかる貢献物に含まれる著作権(著作権法第27条、28条に定める権利を含みます。)、特許権、その他一切の知的財産権を含むすべての権利、権限および利益(以下「貢献物に関する権利」といいます。) について、当該権利の半分の持分をLive2D社へ譲渡するものとします。ただし、Live2D社による利用が不可能な形態によって、お客様が本ソフトウェアとともに使用するプログラムまたはコンテンツ等は、本項に定める貢献物に該当しません。

14.3 前項に規定するお客様が保有する貢献物に関する権利の持分に関し、お客様は、Live2D社に対し、非独占的かつ無償の、取消不能、譲渡可能、サブライセンス可能なライセンスを付与するものとし、任意の国における現在および将来の方法ならびにあらゆる形態の実施のために、貢献物の複製、配布、公開、作成、利用、販売、貸与、譲渡の申出、輸入、改変、翻案その他貢献物に基づく派生的な作品の作成、その他貢献物に関するあらゆる利用をLive2D社が行うことに合意するものとします。また、お客様は、お客様以外のライセンシーに対し、お客様が保有する貢献物に関する権利の持分に基づく一切の権利の行使をしないことに同意するものとします。

14.4 前2項に規定する貢献物に関する権利において、法的に使用許諾が不可能な権利(著作者人格権を含みますがこれに限られません。)については、お客様は、Live2D社およびお客様以外のライセンシーに対し、一切の当該権利を行使しないことに同意するものとします。また、お客様は、お客様が提供した貢献物をLive2D社が利用する際、当該貢献物につきLive2D社単独の著作権表示をすることに同意するものとします。

14.5 お客様は、Live2D社に提供したフィードバックを自由に使用し続けることができるとともに、Live2D社による使用が可能になった貢献物を、本契約に準拠して使用し続けることができるものとします。お客様は、お客様が提供したフィードバックまたは貢献物をLive2D社が使用する義務がないことを了解し同意するものとします。

14.6 お客様は、お客様がLive2D社に提供するフィードバックまたは貢献物に関して、次のとおり、表明し保証するものとします。

14.6.1 お客様が提供するフィードバックまたは貢献物に関する権利は、お客様が所有し、または適法な権限を有するものであり、いかなる担保、使用許諾もしくは、いかなる種類の負担も存在しないこと。

14.6.2 お客様が提供するフィードバックまたは貢献物は、いかなる種類の第三者の権利(特許権、著作権その他の知的財産権を含みます。)を侵害することも、違反することもないこと。

15. 準拠法、管轄裁判所

15.1 本契約は日本法に準拠し、日本法に従って解釈されるものとします。

15.2 本契約は、日本語で締結され、日本語による解釈がいかなる言語による翻訳にも優先されるものとします。

15.3 本契約の解釈および履行に関して生じる一切の紛争の解決については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

16. 残存条項

本契約の終了後においても、4.(知的財産権)、7.(秘密保持)、10.(限定的保証)、11.(責任の制限)、12.(損害賠償)、14.(フィードバックおよび貢献物)、15. (準拠法、管轄裁判所)および本項の規定については、引き続き効力を有するものとします。

17. 一般条項

本契約の一部が無効であり強制力を有しないものとされた場合においても、その他の有効な部分は影響を受けず、その条件に従って効力および強制力を維持します。Live2D社は、本契約を必要に応じて随時改定することができ、その場合、本契約書はウェブページ等に表示された後、そこに記載されている最新の改定日から効力を発するものとします。本契約書を解釈するにあたっては、本契約の日本語版を使用します。本契約はLive2D社およびお客様の本ソフトウェアに関する完全な合意であり、本ソフトウェアに関する本契約締結以前の表明、交渉、了解、通信連絡、広告のすべてに優先します。

18. 個別規定および例外

本条は、本ソフトウェアの一部製品およびコンポーネントに関する固有の規定および上記条項に関する一部例外を規定します。本条の規定が本契約の他の条項と矛盾する場合、本条がそれらの条項に優先するものとします。

18.1 プレリリース版ソフトウェアの補足条件

本ソフトウェアが正式リリース以前の製品またはアルファ版およびベータ版ソフトウェア(以下、「プレリリース版ソフトウェア」といいます)である場合は、本条が適用されます。プレリリース版ソフトウェアは、Live2D社から提供される最終製品に相当するものではなく、バグ、エラーおよびシステム障害等またはデータの損失につながるその他の不具合を含む可能性があります。別の契約書に基づいてお客様がプレリリース版ソフトウェアを受領した場合は、本ソフトウェアの使用は、同時にその契約書の適用も受けます。

18.1.1 プレリリース版ソフトウェアは、Live2D社から提供される最終製品に相当するものではなく、バグ、エラーおよびシステム障害等またはデータの損失につながるその他の不具合を含む可能性があります。

18.1.2 本契約とは異なる契約書あるいは利用規約に基づいてお客様がプレリリース版ソフトウェアおよびその使用を可能にするライセンスを受領した場合は、本ソフトウェアの使用は、同時にその契約書の適用も受けます。
